Hybrid Software Group acquires ColorLogic GmbH

Cambridge (UK), 28 October 2021 (17:45 CEST): Hybrid Software Group PLC (Euronext: HYSG) (the “Company”) announces today that on 27 October 2021 it acquired the entire issued share capital of ColorLogic GmbH (“ColorLogic”), a company with its registered office in Rheine, Germany.

ColorLogic was founded in 2002 and has developed an extensive portfolio of color profiling and conversion software, recently winning the 2021 Pinnacle Product Award from the PRINTING United.  Its products are sold worldwide to both end users with demanding requirements for color quality, as well as to Original Equipment Manufacturers (OEMs) of printing equipment.

Hybrid Software Group celebrates name change with the Euronext bell ceremony

Cambridge UK, 20 October 2021: Hybrid Software Group PLC (Euronext: HYSG) celebrates its change of name and corporate identity today by ringing the bell to open trading at the Euronext Stock Exchange in Brussels.

Hybrid Software Group PLC changed its name from Global Graphics PLC following shareholder approval on 13 October 2021. The new name underlines the Group’s position as a software company providing innovative technology for industrial print manufacturing processes at a time when industry is accelerating towards mass customization, smart factories, and Industry 4.0.  The Group’s solutions are hybrid because they meet the needs of analogue and digital production processes and because they integrate both software and printhead drive electronics.

The Group’s new strapline “enterprise software for industrial print manufacturing” represents all the solutions available from Hybrid Software Group’s global operating companies:  Global Graphics Software, HYBRID Software, Meteor Inkjet and Xitron.  The individual branding of these operating companies is unchanged.

Global Graphics: Result of the General Meeting and change of name

GLOBAL GRAPHICS: RESULT OF THE GENERAL MEETING AND CHANGE OF NAME

 

Cambridge (UK) 13 October 2021: Global Graphics PLC (Euronext: GLOG) announces the result of its General Meeting that was held today (the “Meeting”).

 

Further to the Company’s announcement on 28 September 2021 regarding the proposed change of the Company’s name, the Company is pleased to announce that at the Meeting held earlier today, the special resolution proposed at the Meeting was unanimously passed without amendment.  The change of name has been accepted by the Registrar of Companies for England and Wales.

The Company remains a UK company with its shares listed on Euronext Brussels.  It is expected that Euronext will make the change of name effective from the start of trading on 20 October 2021 and that the Company’s stock symbol will be changed from GLOG to HYSG.  There will be no other changes to the listed shares.

 

Chairman Guido Van der Schueren comments, “I have felt for some time that the name ‘Global Graphics’ no longer described the group’s mission, especially to the investor community.  With the acquisition of HYBRID Software earlier this year it was clear that we needed a name which reflects the real nature of our business: enterprise software combined with printhead electronics for digital printing applications.  I’m very pleased with the strong support we have received for this rebranding.”

Global Graphics PLC: General meeting of shareholders and proposed change of name

Cambridge (UK), 28 September 2021: Global Graphics PLC (Euronext: GLOG) has today issued a Notice of General Meeting to its registered shareholders for the purpose of considering and, if thought fit, passing a special resolution to change the name of the Company.

The Company’s Board of Directors is proposing to change the Company’s name to Hybrid Software Group PLC.  They consider that this is in the best interest of the Company and its shareholders.

Although the Company is comprised of four separate operating companies, each with its own brand identity and market positioning, the Company’s branding is used to communicate the overall mission and focus of the Group externally to current and potential customers, shareholders and other stakeholders.  The Board is of the opinion that the current name does not clearly reflect the Group’s current mission and focus, for several reasons, including:

  • The composition of the Group and its products and services have changed. Global Graphics PLC was established by a series of acquisitions of pre-press hardware manufacturers, none of which remain part of the Group today.
  • The industries served by the Group have changed significantly. Graphics, or even printing, is not broad enough to describe our primary market of industrial inkjet manufacturing and the products and services that we sell.
  • The majority of the Group’s revenue and earnings are derived from the sales of software and related products and services. This is not reflected in the current name of the Company.

After much consideration, the Board has decided that Hybrid Software Group PLC provides a more accurate description of the Group’s mission.  The acquisition of HYBRID Software in early 2021 has been a rapid success, with the new business contributing roughly half of the H1 2021 revenues and EBITDA of the total group.  With more than one thousand end-user customers already using the products of HYBRID Software in the label & packaging segment, it is logical to leverage some of the brand equity and name recognition of HYBRID Software for the combined Group when operating in this segment.

No operational or structural changes to the Company are planned as a result of this re-branding exercise.  The Company will remain a Public Limited Company based in Cambridge, UK, and will continue to be listed on Euronext Brussels.  We anticipate that the new stock symbol will be HYSG, pending approval by Euronext.

Furthermore, each of the Group’s operating companies – Global Graphics Software, HYBRID Software, Meteor Inkjet, and Xitron – will continue operating under their own brands as before, with no changes planned to their branding.

The resolution to change the name is a special resolution, which requires at least 75% of the shareholders voting at the meeting to vote in favour of the resolution.

Global Graphics Software honored with 2021 Pinnacle Intertech Award

The Company is recognized for the third time in four years

Cambridge UK and Sarasota FL, September 27, 2021: Global Graphics Software, the developer of the Harlequin RIP®, has been awarded a 2021 Pinnacle InterTech Award from PRINTING United Alliance, for Direct™, the software that drives data directly to inkjet printhead electronics giving unprecedented speed and image quality. It is the company’s third InterTech award in four years.

The Pinnacle InterTech Awards from PRINTING United Alliance honor the development of innovative technologies judged to be truly innovative and expected to have a significant impact on graphic communications and related industries.

The judging panel said they expect Direct to be widely adopted and to accelerate the use of inkjet for high volume personalized communications and packaging.

Justin Bailey, managing director of Global Graphics Software, says: “Printing full color, fully variable data on the new generation of faster, wider and high-resolution digital presses requires data to be sent to the printheads at blistering speeds. Many manufacturers are hitting what we call the data rate barrier. Direct removes that barrier and builds in the flexibility needed to future-proof print production because the capability of a press is not limited as data rates increase and the press does need to be reengineered to meet future requirements.

“We are delighted that manufacturers, among them Miyakoshi and FUJIFILM Integrated Inkjet Solutions, put their trust in us to overcome this challenge. Direct is a new graphics pipeline that sends data directly to the printhead electronics instead of writing to disk and so reduces image processing times significantly, handles large volumes of data with ease, and accelerates the time to print.

Brian McInerney, senior program manager at FUJIFILM Integrated Inkjet Solutions comments: “We challenged Global Graphics Software to RIP variable data pages destined to be printed on our single-pass inkjet solutions, such as the FUJIFILM 42K Printbar System at speeds up to 1,000 feet per minute and at 1200 dpi. We are happy to share that Global Graphics not only achieved the required data rate using its Direct technology but has since increased its performance to meet our next level specifications. This is a direct benefit to our customers that look to Fujifilm for their single-pass printing solutions without having to create pre-RIPped ready to print files; rather with this solution variable data can be sent directly to our system where RIPping and page screening are done on the fly.”

“The judges recognized the significance of a technology that streamlines image and data processing for high-speed digital presses by bypassing hard-disks and going directly to the printheads, especially as data volumes increase dramatically and will continue to do so,” said Bill Pope, Vice President of Technical Services, PRINTING United Alliance.
