Global Graphics publishes 2020 annual report and financial statements

Mike Rottenborn, Global Graphics CEO comments, “On behalf of the Board of Directors and the management team, I’m pleased to publicly announce our 2020 results.  I began the year as the new CEO shortly before the world was engulfed in the global pandemic and this presented significant challenges, but every Global Graphics employee pulled together to deliver uninterrupted innovation on behalf of our customers and very strong results for our shareholders.

“Four events deserve special mention.  First, the revenue in our Printhead Solutions segment increased by 43% over the same period in 2019 as Meteor’s industrial inkjet customers continued building ever-larger printers.  Second, we were able to conclude the sale of our URW Type Foundry business to Monotype in May, a good outcome for all parties.  Third, Global Graphics Software received a prestigious Queen’s Award for Enterprise for our innovative products in inkjet screening and quality.  And finally, we concluded the year by announcing the purchase of HYBRID Software, which will open up many new opportunities for Global Graphics in the fast-growing labels and packaging segments.

“Although the pandemic is far from over, we see the recovery beginning for many of our OEM customers, and Global Graphics is on a very strong footing to support them throughout 2021 and beyond.”

Financial highlights

In May 2020, the Group sold its entire Fonts segment following a strategic decision to focus on the industrial printing market and focus on the Group’s core competencies of printing software and device electronics.  As a result, 2019 comparatives have been re-presented to differentiate financial results between continuing and discontinued operations.

The consolidated pre-tax result for continuing operations was a profit of €1.69 million compared with a loss of €0.52 million in 2019.  The increase in profitability of €2.21 million is due to:

  • an increase in revenue of €4.02 million;
  • an increase in cost of sales of €1.80 million;
  • an increase in selling, general and administrative expenses of €0.88 million;
  • a decrease in research and development expenses of €0.22 million;
  • an increase in other operating expenses of €0.04 million;
  • an increase in net finance expenses of €0.02 million; and
  • an increase in foreign exchange gains of €0.71 million.

Revenue for the Software segment included a full year of sales by Xitron and totalled €12.67 million for the year (2019: €11.61 million).  The segment benefited from a contract amendment with an existing customer that resulted in €2.30 million of revenue being recognised, which is not expected to be recurring.  In 2019 a different customer exercised an option in their contract which resulted in €2.0 million of revenue being recognised in that year.

Revenue for the Printhead Solutions segment was €9.82 million for the year (2019: €6.87 million).  The top three customers that declined significantly in 2019 recovered during the year and accounted for €2.75 million of the €2.95 million increase in revenue, with the largest customer accounting for €2.33 million of the increase.

Gross profit for the period declined to 76.7% of revenue (2019: 81.3%), primarily due to the higher proportion of driver electronics revenue which generates a lower profit margin than software sales.

Included in selling, general and administrative expenses is amortisation of €1.48 million (2019: €0.77 million) related to intangible assets recognised as a result of acquisitions for continuing operations.  The increase in the year is due to a full year of amortisation of the intangible assets acquired with the Xitron acquisition.  Due to the reduction in share-based awards over the previous years, the share-based payment expense reduced significantly from €152,262 in 2019 to €2,595 in 2020.

Included in research and development expenses (“R&D”) is the capitalisation and amortisation of internally generated intangible assets.  During the period there was a net capitalisation of €0.72 million (2019: €0.13 million net amortisation expense) related to these assets helping to reduce the R&D expense for the year.  The net capitalisation (2019: expense) was comprised of €0.65 million (2019: €1.44 million) in amortisation charge offset by €1.37 million (2019: €1.31 million) in capitalisation of development expenses.

The exchange rate losses are primarily due to the revaluation of currency balances held at the balance sheet date and the change in exchange rates during the year.

The Group presents EBITDA (earnings before interest, tax, depreciation and amortisation) and adjusted profit when reporting its financial results to provide investors with an additional tool to evaluate the Group’s results in a manner that focuses on what the Group believes to be its underlying business operations.  The Group’s management believes that the inclusion of adjusted financial results provides consistency and comparability with past reports.

Annual General Meeting

The Company expects to hold its annual general meeting on Thursday 6 May 2021.  The official notice of the meeting will be issued in accordance with applicable legal and regulatory requirements closer to the time.

Amendment to 2021 financial reporting calendar and AGM date

Cambridge (UK) 4 March 2021: Global Graphics PLC (Euronext: GLOG) announces an amendment to its previously published reporting calendar and annual general meeting (“AGM”) date.

Annual report publication

As a result of the COVID pandemic and the remote working of staff and auditors, the Company is delaying the publication of its Annual report and accounts for the year ending 31 December 2020 (“Annual Report”) by one week.  The Annual Report will now be published before market opening on 18 March 2021 instead of the previously announced 11 March 2021.

Annual General Meeting

The Company previously advised that it expected to hold its AGM on 26 March 2021.  It has now revised the date to 6 May 2021.  The meeting’s timing, venue, and final agenda will be provided in accordance with applicable legal and regulatory provisions.

Full Speed Ahead guide to VDP is updated to include new international standards

Second edition published today.

Cambridge, 10 February 2021:  A second edition of the popular guide to variable data printing ‘Full Speed Ahead: How to make variable data PDF files that won’t slow your digital press’ is published today by Global Graphics. It has been updated to include several new International Standards that were published towards the end of 2020 including a “dated revision” (a 2nd edition) of the PDF 2.0 standard, a new standard for submission of PDF files for production printing: PDF/X-6, and a new standard for submission of variable data PDF files for printing: PDF/VT-3.

Full Speed Ahead is designed to complement the recommendations available for how to maximize sales from direct mail campaigns, with technical recommendations as to how you can make sure that you don’t make a PDF file for a variable data job that will bring a digital press to its knees. It carries those lessons into additional print sectors that are rapidly adopting variable data, such as labels, packaging, product decoration and industrial print, with hints around using variable data in unusual ways for premium jobs at premium margins.

The concise guide provides objective information and advice for  graphic designers, print buyers, production managers, press operators, owners of PSPs, and developers of digital presses and composition tools.

The impact of poorly constructed PDF files on production schedules has increased as press resolution, colorant count, speed and width rise, greatly increasing the data rate required to drive them.

This increase in data places additional demands on the processing power of the DFE and risks slowing down the digital press:  a delay of half a second on every page of a 10,000-page job adds 90 minutes to the whole job, while for a job of a million pages an extra tenth of a second per page adds 24 hours to the total processing time.

Luc De Vos joins Global Graphics’ board of directors

Cambridge (UK), 10 February 2021: Global Graphics PLC (Euronext: GLOG) announces that Luc De Vos has been appointed as an independent, non-executive director with effect from 15 February 2021.

An engineer by training, Mr. De Vos is credited with championing the early implementations of the internet in Europe in the early 1990s and was the founding father of the EUnet International group, the first commercial internet service provider (“ISP”) in Belgium and the first sizeable pan-European ISP.  A notable business angel during the nineties’ new media and internet boom, he was a key player in the creation, development and internationalisation of businesses that became household names, from KPNQwest, Stepstone, and Starlab, to, more recently, CarsOnTheWeb (now ADESA Europe).

Over the years he has also been a non-executive director to global leasing and fleet management company Sofico, and advisor to unified threat management security provider AXSGUARD and AI powered mobile mapping start-up Geckomatics, and has invested in a diverse portfolio of mainly information and communication technology companies.  In all, he has worked with more than 60 companies with a strong focus on growth and corporate governance.

Global Graphics premieres a trio of product films at Page 2021 Online

Cambridge, UK,  29 January 2021: Global Graphics’ Tokyo office will be exhibiting at Page 2021 Online, a virtual event organized by the Japan Association of Graphics Arts Technology, and unveiling a trio of product explainer films.  They focus on the company’s powerful technologies for inkjet, as well as Mako™ the developer toolkit that is used in a wide range of print and document workflows.

Global Graphics PLC completes acquisition of HYBRID Software Group

Cambridge (UK), 13 January 2021: Global Graphics PLC (Euronext: GLOG) announces that it has successfully completed its acquisition of the HYBRID Software Group S.à r.l. (“HYBRID Software”) from Congra Software S.à r.l (“Congra”) following the passing of a shareholder resolution at a General Meeting held on Friday 8th January 2021.

HYBRID Software is a group of software development and marketing companies focused on enterprise software for the graphic arts industry, with a strong focus on labels and packaging.  It becomes the fourth subsidiary company in the Global Graphics group and sits alongside Global Graphics Software, Meteor Inkjet and Xitron.

The acquisition roughly doubles the size of the Global Graphics group of companies in terms of headcount, expanding the global workforce to around 250 people.  It adds several more operating locations to the group through HYBRID Software’s offices in Luxembourg, Belgium, Germany, Italy, France and the USA.  Global Graphics typically invests about one third of its revenues into R&D each financial year and has a strong software development team, which is now expanded to more than 75 engineers with the addition of HYBRID Software.

Global Graphics is dedicated to developing software and hardware solutions for graphics and industrial inkjet printing and has earned a reputation for innovation, with several of its companies being recognised with prestigious industry awards and, in the case of both Meteor Inkjet and Global Graphics Software, with the coveted Queen’s Award for Enterprise. It will continue to be a key supplier of original equipment manufacturer (“OEM”) technology and, through HYBRID Software’s domain expertise in labels and packaging, a customer-focussed supplier of solutions for print service providers and converters as well as OEMs.

HYBRID Software has been an integrator of the Harlequin RIP® for many years inside their CLOUDFLOW workflow product and in recent times has been working at a technical level with Global Graphics Software on the Fundamentals™ digital front end. Michigan-based Xitron, also a long-standing customer for the Harlequin RIP, is active in the commercial printing industry providing pre-press and digital solutions to OEMs.  Its Navigator DFE supports drive electronics from sister company Meteor Inkjet, a leading developer of printhead driver solutions for industrial inkjet systems. Together with Global Graphics Software, developer of the Harlequin RIP and other technology components for digital printing, the Global Graphics group offers the market a compelling stack of solutions for graphics and industrial inkjet printing.

Consideration for the acquisition of HYBRID Software was EUR 80 million which was satisfied in full by issuing 21,074,030 Global Graphics shares to Congra.

For the year ended 31 December 2020, it is estimated that HYBRID Software’s revenue will be around EUR 17 million and EBITDA will be around EUR 5.5 million (subject to audit).  HYBRID Software will be included in the group’s consolidated financial statements with effect from the reporting period that includes the closing date of the acquisition, i.e. for the year ending 31 December 2021, starting with the condensed consolidated financial statements for the six months ending 30 June 2021.  Further information in respect of the acquisition can be found on the company’s website at https://investor.globalgraphics.com/investors/hybrid-software-acquisition.
