Global Graphics publishes 2018 annual report and financial statements

Gary Fry, Global Graphics CEO comments, “We have put in a solid performance in 2018 although it should be noted that there was a significant amount of non-recurring revenue that we do not expect to be repeated. This leads us to expect that revenue for the 2019 financial year will be broadly in line with 2018. However, due to investing in additional staff during 2018 and 2019, we expect comparable profitability will be reduced.”

The consolidated pre-tax result was a profit of €2.87 million in 2018 compared with a pre-tax loss of €0.16 million in 2017.  The increase in profitability of €3.03 million is due to:

  • an increase in revenue of €3.38 million (€3.73 million of 2018 revenue is expected to be non-recurring, see below for more information);
  • a decrease in cost of sales of €0.13 million;
  • an increase in other income of €0.02 million;
  • an increase in selling, general and administrative expenses of €0.59 million;
  • an increase in research and development expenses of €0.36 million;
  • a decrease in other operating expenses of €0.51 million;
  • an increase in finance income of €0.02 million; and
  • a decrease in foreign exchange gains of €0.08 million


Revenue for the Software segment totalled €9.98 million for the year (2017: €9.08 million).  Revenue from existing customers declined by €0.93 million year on year, offset by revenue from new customers and licensing deals of €1.83 million, of which €1.48 million is expected to be non-recurring.

Revenue for the Printhead Solutions segment was €9.20 million for the year (2017: €7.68 million).  The number of customers for which revenue was recognised during the year increased by 24.5% over the previous year.  Sales in Europe remained flat, but there was 64.3% (€0.70 million) growth in North America and 13.7% (€0.72 million) growth in Asia.  The growth in Asia included €0.67 million which is expected to be non-recurring.

Revenue for the Fonts segment was €4.75 million for the year (2017: €3.78 million).  During the year a new contract was signed in the Fonts segment which generated €1.58 million in revenue.  The revenue from that contract is non-recurring and is not expected to be repeated.

Gross profit for the period has improved to 79.3% of revenue (2017: 75.2%).  Margins were improved across all segments of the Group.

Included in selling, general and administrative expenses is amortisation of €1.16 million (2017: €1.52 million) related to intangible assets recognised as a result of acquisitions and €0.31 million (2017: €0.06 million) related to share-based payment expenses.

Included in research and development expenses is the capitalisation and amortisation of internally generated intangible assets.  During the period there was a net expense of €0.36 million (2017: €0.18 million) related to these assets.  The net expense was comprised of €1.41 million (2017: €1.46 million) in amortisation charge offset by €1.05 million (2017: €1.28 million) in capitalisation of development expenses.

The exchange rate gains are primarily due to the revaluation of currency balances held at the balance sheet date and the change in exchange rates during the year.

The Group presents EBITDA (earnings before interest, tax, depreciation and amortisation) and adjusted profit when reporting its financial results to provide investors with an additional tool to evaluate the Group’s results in a manner that focuses on what the Group believes to be its underlying business operations.  The Group’s management believes that the inclusion of adjusted financial results provides consistency and comparability with past reports.

Annual General Meeting
The Company expects to hold its annual general meeting on Wednesday 15 May 2019 in Brussels.  The official notice of the meeting will be issued in accordance with applicable legal and regulatory requirements closer to the time.

Roland DG adds PDF 2.0 compatibility to wide format devices

Roland DG’s RIP and Print Management Software “VersaWorks 6” Upgrade Launched
The latest Harlequin® RIP OEM to offer upgrades compatible with the ISO PDF 2.0 standard is Roland DG with its VersaWorks 6 RIP and print management software.

The Harlequin RIP was the first major PDF RIP for production printing to offer compatibility with the PDF 2.0 standard. Global Graphics Software launched the Harlequin RIP with PDF 2.0 support almost a year ago (April 2018) so that OEMs could start the integration into their next round of products early with some launches coinciding with Label Expo Americas.
It supports all of the features of the new PDF 2.0 standard that are relevant for production printing.

VersaWorks 6, included with Roland DG inkjet printers and printer/cutters, supports a broad range of functions to streamline the entire printing process by generating high-quality print data that optimizes the features of the printers, ink and media being used. “By supporting the latest PDF 2.0 capability, our users can respond quickly to the latest printing workflows, and continue providing reliable and high-quality print services,” said Tadashi Kawashima, General Manager of Roland DG Product Development.

Martin Bailey, CTO and head of product management at Global Graphics Software, said, “Roland DG is the latest to safeguard their users against a future PDF 2.0 file being submitted to the workflow and the workflow ignoring features that it doesn’t recognize. This upgrade protects Roland DG users from getting unexpected results and potentially having jobs rejected by their customers.”

The PDF 2.0 standard was published in 2017 by the International Standards Organization and is billed as the first “post-Adobe” standard.  

Reputed for the quality of its output as well as its speed, the Harlequin RIP transforms design and pre-press data into a format that can be printed and feeds those pages to the press at blistering speeds. Harlequin Version 12 is available in two editions: the Harlequin Host Renderer SDK, which powers the Digital Front Ends used in high-volume digital production environments; and Harlequin MultiRIP for conventional and light digital production printing.

Change to the Board of Directors

Cambridge (UK) 1 March 2019: Global Graphics PLC (Euronext: GLOG) announces a change in the composition of the Board of Directors (the “Board”).

Resignation of Johan Volckaerts

Following the end of the initial acceptance period of the takeover bid by Congra Software Sarl, Mr Volckaerts has resigned as a member of the Board with effect from 1 March 2019.

Gary Fry, CEO commented: “I’d like to thank Johan for the strong support and leadership he has given to Global Graphics. He has served the company for more than 20 years, as chairman and CEO from 1996 when Global Graphics was founded, as chairman from 2007 until 2014 and thereafter as a non-executive director”.

Appointment of Clare Findlay

With effect from 1 March 2019, Ms Clare Findlay has been appointed as an independent non-executive director of the Company.

Ms Findlay was previously a non-executive director of the Company from June 2011 until 2014 and has more than 20 years’ experience at senior level positions in the computer software industry, including as managing director of the UK operations of Concentrix Corporation, the global business process outsourcing division of SYNNEX.

In 2003, Ms Findlay founded Aspire Technology, a European specialist in providing customer renewal services through its proprietary RenewalsManager SaaS platform, which was acquired in November 2010 by Concentrix Corporation.  In 2013 Ms Findlay co-founded Purple Demand, a Demand Creation Agency.

Prior to founding Aspire, she was a divisional director of business technology integrator Morse Plc where she was responsible for Morse’s entry into building a software services business.  She has also held senior positions at Catalyst Solutions Plc and Pacific Associates Plc, before it was sold to Catalyst Solutions.

Guido Van der Schueren, chairman of the Board commented: “We are delighted to welcome Clare back to the board.  Her blend of experience in computer technology, combined with her leadership and people skills, make her an excellent fit for the team.”

Global Graphics PLC (Euronext: GLOG) (Global Graphics) and Congra Software S.à.r.l. (Congra) announce the results of the initial acceptance period with respect to the mandatory public takeover bid in cash by Congra for all shares not yet owned by Congra (and its affiliates/concert parties) amounting to a total maximum of 64.11% (approximately) of the shares issued by Global Graphics (the Takeover Bid).

The initial acceptance period was launched on 24 January 2019 and ended on 25 February 2019 (inclusive) at 4:00 p.m. CET (3:00 p.m. GMT). During the initial acceptance period 1,680,099 shares of Global Graphics, representing 14.33% (approximately) of the voting rights in Global Graphics, were tendered in the Takeover Bid. In addition, during the initial acceptance period, 57,849 shares of Global Graphics, representing 0.49% (approximately) of voting rights in Global Graphics, were acquired through market order transactions. The price per share paid in these market order transactions amounted to EUR 4.25 or below.

As a result, at the end of the initial acceptance period, the Bidder together with Powergraph BVBA – who is an affiliate and concert party of the Bidder and who holds 1,640,000 shares in Global Graphics (representing 13.99% (approximately) of the voting rights in Global Graphics) – holds in aggregate 5,872,086 shares in Global Graphics, representing 50.09% (approximately) of the voting rights in Global Graphics.

The payment of the bid price for the tendered shares (amounting to EUR 4.25 per share) will take place on 8 March 2019.

There will be no voluntary reopening of the Takeover Bid in accordance section 7.6(a) of the prospectus relating to the Takeover Bid.

Amendment to 2019 reporting calendar

Cambridge (UK) 26 February 2019: Global Graphics PLC (Euronext: GLOG) amends the date of publication of its annual report and financial statements for the year ending 31 December 2018 (“Annual Report”) to 27 March 2019.

The increasing uncertainty about the UK’s decision to leave the EU (“Brexit”) with a deal or no-deal has potential implications on the Company’s regulatory framework, which may have an effect on the Annual Report and the ability for the auditors to sign the audit report.  To mitigate that risk and ensure that the Annual Report can be delivered without complication or being affected by Brexit, the Company will now publish the Annual Report after market close on Wednesday 27 March 2019.

The reporting calendar for 2019 will now be:

Annual General Meeting

Transaction in own shares

Cambridge (UK) 20 February 2019: Global Graphics PLC (Euronext: GLOG) (the “Company”) announces that it has transferred 105,283 ordinary shares of €0.40 each (“Ordinary Shares”) out of treasury (the “Shares”).

507 of the Shares were transferred to the Global Graphics Share Incentive Plan (the “SIP”) to satisfy the award of matching shares for partnership shares acquired by employees participating in the SIP.

104,776 of the Shares were transferred out of treasury for vested options that have been exercised and have accepted the takeover bid made by Congra Software S.à.r.l.

Following the transfer of the Shares, the Company holds 112,996 Ordinary Shares in treasury and has 11,722,711 Ordinary Shares in issue (excluding shares held in treasury).  The total number of voting rights is therefore 11,722,711.

The total voting rights figure of 11,722,711 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company.
