Global Graphics Software and Xitron sign cooperative agreement

Global Graphics Software has signed a cooperative agreement with long-standing OEM partner Xitron, LLC.  The agreement sees Xitron take over sales and support of the Harlequin MultiRIP business of Global Graphics Software’s RTI Division for all commercial offset and flexographic markets. The agreement takes effect immediately and covers the RTI customer base for Harlequin MultiRIP Computer-to-Plate and Computer-to-Film applications worldwide.

The RTI division of Global Graphics Software provides and supports custom-branded versions of the Harlequin RIP directly to print service providers and printing equipment manufacturers, mostly in the North American market.  Xitron, a leading independent developer of custom RIP and workflow products for commercial, digital and high-speed inkjet printing on the Harlequin platform has been a Global Graphics OEM partner since 1991.

The agreement covers sales to new offset and flexographic customers as well as support of existing customers in those markets.  It allows RTI to focus its future sales and support activities for the Harlequin RIP on the direct digital market, including the Harlequin DirectPrint™ for light production printing, screen printing and the industrial inkjet market, and allows scope for new product development.

Ken Hiller, general manager of RTI-RIPs.com, says, “This is an exciting development for us and I look forward to working with Xitron in this new venture.  We have lots of opportunities to explore together and I believe this agreement will prove a winning strategy for both parties.”

“Strategically speaking, this agreement will improve Xitron’s already strong position for distribution and support of Harlequin-based RIPs and workflows in the offset and flexo markets,” said Bret Farrah, executive vice-president of Xitron. “To date, we’ve sold over 35,000 Navigator RIP kits due to our ability to drive almost any computer-to-plate or film imagesetter in use. Coupled with our advancements in the high-speed inkjet sector, Xitron should be well-positioned for market expansion going forward.”

Global Graphics to co-chair PDF Technical Working Group

Global Graphics announces today that its chief technology officer Martin Bailey has been named as the co-chair of the PDF Technical Working Group (TWG) within the PDF Association’s PDF Competence Centre https://www.pdfa.org/working-group/pdf-competence-center/, along with Peter Wyatt, the general manager of CiSRA ( Canon Information Systems Research Australia.)

Following the publication of the new ISO PDF 2.0 standard – ISO 32000-2 in July 2017, the PDF TWG will be producing Application Notes for PDF 2.0 to support the implementation of the standard by developers whose PDF tools create and consume PDF.

ISO 32000-2 is the first “post Adobe®” PDF standard since Adobe handed over PDF’s development to the ISO. PDF is now developed within the vendor-neutral ISO working-group structure. ISO’s TC 171 SC 2 WG 8, the Working Group which owns the PDF specification, includes subject matter experts from many countries, and represents many different vertical interests within the PDF industry.

Speaking on news of his appointment Martin said, “The value of a standard can be greatly increased by a wider involvement of the relevant communities in shared education and discussion. The PDF Association has become the obvious group to help foster and guide that wider involvement for PDF itself and for many of the PDF-based standards in use today.”

Duff Johnson, the PDF Association’s executive director said, “PDF 2.0 is designed to be largely backward compatible, but older processors won’t handle new features.  The purpose of the new documents to be developed by the PDF TWG is to help developers develop a common understanding of the new specification as well as best practices for implementation. We’re very happy that Martin and Peter have agreed to lead this effort.”

Martin Bailey is the primary UK expert to the ISO committees working on PDF, PDF/X and PDF/VT. In 2017 Global Graphics Software hosted two of the PDF Association’s PDF 2.0 interoperability workshops to provide a way for PDF tool developers to validate their work against the new ISO 32000-2 (PDF 2.0) standard by working with vendors of other tools.

Global Graphics PLC: trading update for the quarter and nine months ended 30 September 2017

Cambridge (UK) Wednesday 11 October 2017 (18.00 CEST) – GLOBAL GRAPHICS PLC (Euronext: GLOG) provides a trading update for the third quarter and first nine months of the financial year ending 31 December 2017.

Gary Fry, Global Graphics CEO comments, “This quarter saw us take part in Labelexpo, the major international label exhibition.  This sector is full of optimism and continues to show healthy growth. Currently, only a small percentage of label and packaging printing is produced digitally, giving huge potential to Global Graphics with our broad range of digital solutions.

“We were delighted to announce two significant new customers showing digital solutions at the exhibition, namely HP Indigo with their HP Production Pro Digital Front End for labels and packaging, and Durst with their Symphony workflow driving a new high-speed label printer.  Three other undisclosed customers are now shipping products that include Global Graphics software technology. Meteor Inkjet also had two customers showing strong propositions on the show floor in Dantex and Mark Andy.

“Although the third quarter of any year is typically lighter on revenue, we have signed some significant accounts which we expect to be revenue enhancing in the coming months. It was also a particularly strong quarter for our font foundry URW++ whose underlying business is on a positive trend, reflecting the investments we have made.

“During the quarter we made a small strategic technology acquisition of Cambridge Grey Bit Limited, a research and development company specializing in advanced software for industrial inkjet printing.  This acquisition broadens our technology portfolio in a strategically important area for the Company. It complements the advances we have already made in industrial inkjet with our ScreenPro screening engine and the acquisition of Meteor Inkjet.  Of its two employees one has now joined the Global Graphics Software development team.”

During the nine months ended 30 September 2016, a customer in the Print segment exercised a multi-year option in their contract which resulted in the recognition of revenue totalling €2.87 million during that period.  There was no such item in the nine months ended 30 September 2017.

Gross profit

Following the acquisition of Meteor in December 2016, the Group’s sales are now comprised of software and a significant proportion of hardware.  The hardware revenue attracts a higher cost of sale, resulting in lower gross margins, so gross profit margins will be influenced by the mix of product that is sold during the period.

EBITDA

EBITDA is calculated by adding back interest, tax, depreciation and amortisation to net profit.

Cash

The Group continues to be free of any interest bearing debt, therefore, has no interest payments or capital repayments to make.

The terms of the acquisition of Meteor necessitates a deferred consideration payment, payable in cash, which is contingent on revenue.  Two payments were made during the nine months ended 30 September 2017.

Acquisition of Cambridge Grey Bit Limited

On 27 September 2017, the Group acquired the entire issued share capital of Cambridge Grey Bit Limited (“CGB”).

CGB is a research and development company specializing in advanced software for industrial inkjet printing and is based near Cambridge, UK.  With this acquisition, CGB’s expertise in screening and cross web calibration for single pass and scanning inkjet heads will be integrated into Global Graphics Software’s technology offering.

Consideration for the acquisition was £75,000 in cash followed by deferred consideration contingent on revenue during the five year period from 27 September 2017 until 27 September 2022.

To date, CGB’s revenue is not material in relation to the Group’s revenue and is not expected to be material to the Group’s Q4 or full year 2017 results.
