In addition, the Company’s shareholders voted to:

  • renew the authorization granted to the Company’s Board of Directors (the “Board”) to implement a share repurchase program pursuant to which the Company is entitled to repurchase up to one million of its own shares over the next eighteen months at a maximum share price of Euro 12.00 a share (ninth resolution). Such authorization cancelled the unused portion of the existing authorization to implement a share repurchase programme within similar terms and limits, which was granted to the Board by the shareholders on 23 April 2010 and was due to expire on 23 October 2011;
  • to renew the authorization granted to the Board to grant free, ordinary shares under the Share Incentive Plan (“SIP”), up to a total number of 350,000 shares, being noted that included in the computation of such limit would be all options to subscribe for and/or purchase shares of the Company and all free shares which would be granted pursuant to the authorisations granted to the Board by the shareholders when voting the eleventh and twelfth resolutions of this meeting, respectively. Such authorization cancelled the unused portion of the existing authorization to grant shares under the SIP, which was granted to the Board by the shareholders on 24 April 2009 and was due to expire on 1 July 2011.

Resolutions passed at the extraordinary meeting of the Company’s shareholders

This authorization was granted for an eighteen-month period, and superseded the existing, similar authorization which granted by the shareholders on 23 April 2010 and was due to expire on 23 October 2011 (thirteenth resolution).
The Company’s shareholders also voted to adopt the amendments to the provisions of article 14 of the Company’s articles of association as proposed by the Board which relate to shareholding threshold notifications and intention notifications (fourteenth resolution).

RIPping costs – Global Graphics at the IMI Digital Printing Press Conference

In a session called “RIPping through data: challenges faced in the digital front end” Bailey will describe how the increase in the use of transparency in graphic design and the trend towards increased variable data coverage, the digital front ends (DFEs) or RIP farms that drive digital presses must process data quickly enough to drive presses at their full rated speeds.

But, Bailey will point out, it’s not just about speed.

“The challenge isn’t just to be fast enough”, he says. “The real challenge is to achieve that goal without incurring an uneconomically high cost for the bill of materials to build the DFE.”

Press manufacturers want to minimize the costs of the DFE compared with the cost of the press.  Yet they have to ensure their products help print shops respond to market opportunities such as the growing market for photo book printing, or for personalized direct marketing materials. What’s the next step once you’ve optimized the system’s hardware?

His session will draw on Global Graphics’ approach to working with HP on their HP SmartStream Production Pro Print Server and HP SmartStream Ultra Print Server DFEs.  Global Graphics is the developer of the Harlequin RIP® that has been used to drive the Indigo digital press range since 2002.

Conference registration is open at http://www.imiconf.com

Resultaten Global Graphics eerste kwartaal 2011

GLOBAL GRAPHICS S.A.

  • omzet van 2,1 miljoen euro voor dit kwartaal (2,0 miljoen euro tegen Q1 2010 wisselkoersen) in vergelijking met 2,0 miljoen euro in Q1 2010;
  • bedrijfsverlies van 0,3 miljoen euro in Q1 2011, in vergelijking met een bedrijfsverlies van 1,1 miljoen euro in Q1 2010;
  • aangepast bedrijfsverlies van 0,3 miljoen euro voor dit kwartaal in vergelijking met een aangepast bedrijfsverlies van 1,1 miljoen euro in Q1 2010;
  • aangepast verlies vóór belastingen van 0,4 miljoen euro voor dit kwartaal (of een aangepast verlies vóór belastingen van 0,04 euro per aandeel) in vergelijking met een aangepast verlies vóór belastingen van 1,2 miljoen euro in Q1 2010 (of een aangepast verlies vóór belastingen van 0,12 euro per aandeel);

·        een bedrijfsverlies van 0,3 miljoen euro (of een verlies gelijk aan 13,8% van de kwartaalomzet), in vergelijking met een bedrijfsverlies van 1,1 miljoen euro in Q1 2010 (of een verlies gelijk aan 54,5% van de kwartaalomzet van Q1 2010);

·        een aangepast bedrijfsverlies (of EBITA, zoals gedefinieerd in de bijgaande tabel) van 0,3 miljoen euro tegenover aangepast bedrijfsverlies van 1,1 miljoen euro in Q1 2010. Bijgevolg bedroeg de EBITA marge -16,1% van de Q1 2011 kwartaalomzet tegenover –53,3% van de kwartaalomzet voor Q1 2010;

·        een aangepast verlies vóór belastingen (zoals gedefinieerd in de bijgaande tabel) van 0,4 miljoen euro in vergelijking met een aangepast verlies vóór belastingen van 1,2 miljoen euro in Q1 2010. Bijgevolg bedroeg het aangepaste verlies per aandeel vóór belastingen dit kwartaal 0,04 euro in vergelijking met een verlies per aandeel van euro 0,12 in Q1 2010;

·        een nettoverlies van 0,1 miljoen euro (of een nettoverlies van 0,01 euro per aandeel in Q1 2011), tegenover een nettoverlies van 1,2 miljoen euro in Q1 2010 (of een nettoverlies van 0,12 euro per aandeel in Q1 2010);
