Global Graphics sponsors PDF and XML production parc at drupa

Global Graphics is sponsoring the PDF and XML Production Parc in the drupa innovation parc (dip) to showcase its broad range of PDF, XPS and PostScript® solutions for pre-press, proofing, digital print and workflow applications.  On show (Hall 7, Stand 7.0D) will be the latest version of the Harlequin® RIP, the JDF – enabled Harlequin PLUS Server RIP, which is the first graphic arts RIP to process PDF, PostScript and the new XPS print format natively, as well as products created from Global Graphics’ new eDocument Library, including previews of new technology for high speed transactional processing and transpromo printing.

Martin Bailey, Global Graphics’ chief technology officer comments,  “The theme of the PDF and XML Production Parc lends itself really well to the pioneering work we have done in our RIP and electronic document technology.  Global Graphics was the first to provide a RIP with native support for both PostScript and PDF to the graphic arts market and last September we added native XPS processing when we released the Harlequin PLUS Server RIP to our OEM partners.  What this means for print shops is that they won’t need to worry about which file formats they send to the RIP.  This is an important advantage for those printers that either already process Microsoft files or want to grow the corporate printing side of their business. Native processing of file formats renders files more accurately and speedily because there is no conversion to an intermediary format.

Notice of the ordinary and extraordinary meeting of the shareholders

In accordance with applicable legal and statutory provisions, notice is hereby given that the annual general meeting of the shareholders of Global Graphics SA (the ‘Company’) will be held at the Hotel Bristol Stéphanie, 91-93 avenue Louise, Brussels (Belgium), on 25 April 2008 at 09.30 CET.

The initial agenda and draft resolutions which will be proposed to the shareholders were included in the press release issued by the Company on 13 March 2008 and the notice of the meeting which was released in the Bulletin des annonces légales et obligatoires (BALO) on 19 March 2008 (advertisement n°0802674 in bulletin 34).

An additional item must be added to the initial agenda following the decision made by the Company’s Board of Directors on 21 March 2008 to appoint Mr. Pierre Van Beneden as a director of the Company to replace Mr. Peter Camps following the latter’s decision to resign from his directorship with the Company with effect from 18 March 2008, namely:

  • Ratification of the cooptation by the Company’s Board of Directors on 21 March 2008 of Mr. Pierre Van Beneden to replace Mr. Peter Camps following the latter’s decision to resign from his directorship with the Company.

Consequently, the Company’s shareholders will be proposed the following ordinary resolution which will come immediately after the initial eighth resolution:

Ninth resolution – Ratification of the cooptation of Mr. Pierre Van Beneden as a director of the Company to replace Mr. Peter Camps following the latter’s resignation

To ratify the appointment of Mr. Pierre Van Beneden (whose personal address is 84 Halton Road, London, UK) as a director of the Company, which was made on a provisional basis by the Company’s Board of Directors on 21 March 2008 to replace Mr. Peter Camps until the term of his mandate, i.e. until the date of the meeting of the Company’s shareholders which will be held in 2010 to approve the statutory and consolidated accounts for the year ending 31 December 2009.”

Therefore all succeeding proposed resolutions need to be re-numbered.

Information on voting procedures

In accordance with provisions of article R. 225-85 of the French Commercial Code, any shareholder of a company whose shares are admitted to trading on a regulated market or to performing transactions of a central depositary is entitled to participate in a meeting of the shareholders of such company provided that the shares he holds in that company are registered in his/her name or in the name of the registered intermediary on behalf of him/her as set out in the seventh paragraph of article L. 228-1 of the French Commercial Code, no later than three business days before the date of the shareholders’ meeting at 00.00 CET, either with the Company’s share registrar for shares registered in the name of the shareholder, or with a registered intermediary entitled to keep securities’ accounts.

The record of bearer shares in securities’ accounts kept by a registered intermediary is duly evidenced by a certificate which may be delivered by the registered intermediary, including by electronic means provided that conditions set out in article R. 225-61 of the French Commercial Code are then met, which has to be attached to the postal vote form, the proxy statement, or to the request to get an entrance card mentioning the name of the shareholder or the name of the registered intermediary which represents the shareholder.
This certificate may also be delivered to the shareholder willing to attend the meeting should he not have received his entrance card at 00.00 CET on the third business day immediately preceding the meeting date.

Should they not be in a position to attend the meeting, shareholders may choose between one of the following methods to vote:

1.        either send a proxy statement to the Company without any indication of the person to whom a voting mandate is given;
2.        give a mandate to their spouse or any other shareholder of the Company, or
3.        vote by postal vote.

Any shareholder who has followed any of the above-mentioned procedures may still dispose of part or all of the shares he holds in the Company. However, should such disposal occur no later than 00.00 CET on the third business day immediately preceding the meeting date, the Company will be entitled to cancel or amend the postal vote, proxy statement, entrance card or certificate of participation of the shareholder based on information of such disposal provided by the registered intermediary to the Company or its share registrar.  The registered intermediary has no obligation to notify the Company of any share disposal or other types of share transactions which would be entered into after 00.00 CET on the third business day immediately preceding the meeting date, even in the existence of an agreement providing for the opposite.

A single form which may be used either to vote by proxy statement or by postal vote will be mailed to all shareholders who have registered their shares with the Company’s share registrar. The shareholder who has filed and returned the form to vote by postal vote may no longer vote by proxy statement or attend the meeting. To be valid, postal votes, once completed and duly signed, must be sent back to CACEIS Corporate Trust no later than three days before the meeting date.

Questions put in writing by the shareholders

In accordance with provisions of article R. 225-84 of the French Commercial Code, any shareholder is entitled to put questions in writing to the Company’s Chairman of the Board of Directors. Such questions shall be asked by sending either a registered letter to the registered office of the Company or an e-mail to:  [<a href="mailto:investor-relations@globalgraphics.com">investor-relations@globalgraphics.com</a>] no later than four business days ahead of the date when the meeting is scheduled.

Supplementary report of the Board of Directors
to the Company’s shareholders

Ladies and gentlemen,

This supplementary report of the Company’s Board of Directors was prepared and is to be read in conjunction with all of the reports of the Company’s Board of Directors which are required by law and were prepared in connection with the ordinary and extraordinary meeting of the Company’s shareholders scheduled on 25 April 2008.

After the Company’s Board of Directors approved all of the abovementioned reports required by law, the Board of Directors was made aware of the decision made by Mr. Peter Camps to resign from his directorship with the Company with effect from 18 March 2008.

Such resignation was handed over by Mr. Camps pursuant to his acceptance of a position within a group of companies which may have business relationships with the Company, which he considered may put him in a potential conflict of interest situation.

In its meeting on 21 March 2008, the Company’s Board of Directors decided:

  • to accept the resignation of Mr. Peter Camps from his directorship with the Company; and
  • to appoint Mr. Pierre Van Beneden, whose personal address is 84 Halton Road, London (United Kingdom), as a director of the Company to replace Mr. Peter Camps.

Mr. Pierre Van Beneden was selected by the Company’s Board of Directors notably with regard to his past professional experience (particularly with Lotus between 1995 and 2001, Critical Path between 2001 and early 2003, and as VP EMEA of Adobe between May 2003 and late 2007), and the high-level contacts he developed during these years.

As required by the fourth paragraph of article L. 225-24 of the French Commercial Code, the cooptation of Mr. Van Beneden as a director of the Company needs to be ratified by the shareholders. Should such ratification be voted, Mr. Van Beneden would serve as a director of the Company until the term of the mandate held by Mr. Camps, i.e. until the date of the meeting of the Company’s shareholders which will be held in 2010 to approve the statutory and consolidated accounts for the year ending 31 December 2009.

You are kindly invited to read this report in conjunction with all of the reports of the Company’s Board of Directors which were prepared in connection with the ordinary and extraordinary meeting of the Company’s shareholders scheduled on 25 April 2008.

We hereby confirm to you that no specific events occurred since the date these reports were prepared which would require the Board of Directors to amend such reports.

Informations sur les procédures de vote
Conformément aux dispositions de l’article R. 225-85 du Code de commerce, il est justifié du droit de participer aux assemblées générales des sociétés dont les titres sont admis aux négociations sur un marché réglementé ou aux opérations d’un dépositaire central par l’enregistrement comptable des titres au nom de l’actionnaire ou de l’intermédiaire inscrit pour son compte en application du septième alinéa de l’article L. 228-1 du Code de commerce, au troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, soit dans les comptes de titres nominatifs tenus par la société, soit dans les comptes de titres au porteur tenus par l’intermédiaire habilité.

L’inscription ou l’enregistrement comptable des titres dans les comptes de titres au porteur tenus par l’intermédiaire habilité doit être constaté par une attestation de participation délivrée par ce dernier, le cas échéant par voie électronique dans les conditions prévues à l’article R. 225-61 du Code de commerce, et annexée au formulaire de vote à distance ou de procuration, ou encore à la demande de carte d’admission, établis au nom de l’actionnaire ou pour le compte de l’actionnaire représenté par l’intermédiaire inscrit. Une attestation est également délivrée à l’actionnaire souhaitant participer physiquement à l’assemblée et qui n’a pas reçu sa carte d’admission le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris.

A défaut d’assister personnellement à cette assemblée, les actionnaires peuvent choisir entre l’une des trois formules suivantes :

  1. adresser une procuration à la société sans indication de mandataire,
  2. donner une procuration à un autre actionnaire ou à son conjoint,
  3. voter par correspondance.

L’actionnaire qui a déjà effectué l’une des formalités ci-dessus mentionnées, peut néanmoins céder tout ou partie de ses actions. Cependant, si la cession intervient avant le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, la société invalide ou modifie en conséquence, selon le cas, le vote exprimé à distance, le pouvoir, la carte d’admission ou l’attestation de participation. A cette fin, l’intermédiaire habilité teneur de compte notifie la cession à la société ou à son mandataire et lui transmet les informations nécessaires.
Aucune cession ni aucune autre opération réalisée après le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, quel que soit le moyen utilisé, n’est notifiée par l’intermédiaire habilité ou prise en considération par la société, nonobstant toute convention contraire.
Les formulaires de procuration et de vote par correspondance seront adressés par courrier aux actionnaires inscrits en compte nominatif pur ou administré.
S’il retourne ledit formulaire aux fins de voter par correspondance, l’actionnaire n’aura plus la possibilité de se faire représenter (au moyen d’une procuration) ou de participer directement à l’assemblée.
Pour être comptabilisés, les formulaires de vote par correspondance, complétés et signés, devront être reçus par CACEIS Corporate Trust au plus tard trois jours avant la date de l’assemblée.

Questions écrites posées par les actionnaires

Rapport complémentaire à l’assemblée générale
ordinaire et extraordinaire du 25 avril 2008

Mesdames, Messieurs,

Le présent rapport est établi en complément des autres rapports établis par le conseil d’administration dans le cadre de la préparation de l’assemblée générale ordinaire et extraordinaire devant être réunie le 25 avril 2008.

Il apparaît en effet que, postérieurement à l’arrêté des rapports susvisés, Monsieur Peter Camps, administrateur de la Société, a fait connaître au conseil sa décision de démissionner de son mandat d’administrateur avec effet au 18 mars 2008.

Cette démission, motivée par l’évolution de la situation de Monsieur Peter Camps suite à son acceptation de fonctions au sein d’un groupe susceptible de nouer des relations d’affaires avec le groupe Global Graphics, le plaçant alors en position de conflit d’intérêts potentiel, a conduit le conseil d’administration qui s’est réuni le 21 mars 2008 à décider :

  • d’une part, d’accepter la démission de Monsieur Peter Camps,.
  • d’autre part, de coopter Monsieur Pierre Van Beneden, demeurant 84 Halton Road à Londres au Royaume Uni, en qualité d’administrateur en remplacement de Monsieur Peter Camps.

Monsieur Pierre Van Beneden a été retenu par le conseil d’administration de la Société au poste d’administrateur au vu notamment de son expérience professionnelle (particulièrement chez Lotus entre 1995 et 2001, chez Critical Path entre 2001 et début 2003, et comme Vice President EMEA d’Adobe entre mai 2003 et fin 2007), et des contacts de haut niveau qu’il a pu nouer au long des années dans ces sociétés.

Conformément aux dispositions de l’article L. 225-24 alinéa 4 du Code de commerce, cette cooptation est soumise à la ratification par l’assemblée générale. Si cette ratification est décidée, Monsieur Pierre Van Beneden exercera son mandat pour la durée restant à courir du mandat de son prédécesseur, soit jusqu’à l’issue de l’assemblée générale qui sera tenue en 2010 à l’effet de statuer sur les comptes de l’exercice écoulé.

Harlequin RIP® debuts ground-breaking features at drupa

The latest version of the Harlequin RIP® – the Harlequin PLUS Server RIP (v.8.0)  will be given its international debut at drupa (Hall 7, Stand 7.0D).  It brings a new level of functionality and performance to a wide variety of pre-press, digital printing, newspaper and workflow applications: notably the ability to process XPS files natively in addition to native PDF and PostScript processing; even faster processing speeds than its predecessors and a new feature that speeds up variable data processing of PDF files.
 
The Harlequin PLUS Server RIP was released to Global Graphics’ OEMs last September. It is the first commercially available graphic arts RIP to natively process files in the new XPS print format (XML Paper Specification) available with Windows® Vista™. The XPS format is set to have ramifications for the entire print industry, initially amongst print service providers who already process Microsoft files as well as in-plants and print shops who undertake corporate printing, but ultimately across most segments of the print industry given the ubiquity of the Windows operating system.  Native processing of file formats renders files more accurately and speedily because there is no conversion to an intermediary format.

The Harlequin PLUS Server RIP also introduces support for PDF 1.7 and the PDF/X-4 standard as well as JDF 1.3.  There is support for the HD Photo format, a new file format for continuous tone still images that surpasses the limitations of existing image formats with superior compression capabilities and extended dynamic range.  There is also support for PANTONE® Goe™ and platform support has been extended to include Windows Vista and MAC OS X 10.5 (Leopard).

New appointment to Global Graphics’ board of directors

Global Graphics SA (NYSE-Euronext: GLOG) announced today that Pierre Van Beneden, CEO of RSD SA in Geneva and formerly vice president EMEA for Adobe Systems Inc, has accepted the position of non-executive director with the Company.

He replaces Peter Camps who has resigned from the Company’s Board of Directors after almost two years of diligent service to avoid any potential conflict of interest following the acquisition on 13 March 2008 of all of the shares forming the capital of Gradual Software by EskoArtwork and his subsequent appointment as senior vice president Enfocus, the new business unit formed by Enfocus and Gradual Software.

Before joining RSD, a Geneva-based provider of archiving and retrieval software for digital documents, as CEO in early March 2008, Pierre Van Beneden was vice president EMEA for Adobe Systems Inc. from May 2003 until late 2007. Between October 2001 and January 2003, he served as president of San Francisco-based Critical Path, a NASDAQ-listed company providing messaging and identity management solutions. From 1995 to 2001, he was with Lotus Development Corporation before and after it was acquired by IBM, where he served in a variety of roles, including executive vice president worldwide field operations. Prior to his time with Lotus, Mr. Van Beneden spent almost a decade at Oracle Corporation in France, having held various executive positions in the European IT industry, notably at Digital Equipment between 1985 and 1988. He holds a Ph.D. in business management from Paris University and a Master’s degree in the same from Paris Dauphine.

Johan Volckaerts, Chairman of Global Graphics’ Board of Directors commented: “We are delighted to welcome Pierre.  He joins us during a period of intense product development which has already seen our product portfolio greatly expand. The Company will continue to push ahead in 2008 with other new initiatives and further product development and we are pleased to add Pierre’s experience to an already strong team.”

In accordance with the applicable provisions of French Company Law, Mr. Van Beneden will serve as a director of the Company until the term of the mandate held by Mr. Camps, i.e. until the date of the meeting of the Company’s shareholders which will be held in 2010 to approve the statutory and consolidated accounts for the year ending 31 December 2009.

As a result of this appointment, the Company’s Board of Directors decided to include an additional resolution in the agenda of the shareholders’ meeting scheduled on 25 April 2008 so that the co-optation of Mr. Van Beneden as a director could be ratified by the Company’s shareholders.

Changements au sein du conseil d’administration de Global Graphics

Global Graphics SA (NYSE-Euronext : GLOG) a annoncé aujourd’hui que Pierre Van Beneden, actuel directeur général de RSD SA et ancien vice president EMEA d’Adobe Systems Inc, avait accepté de devenir administrateur indépendant de la Société.

Il remplace Monsieur Peter Camps qui a démissionné du conseil après près de deux années de bons et loyaux services pour éviter tout risque de conflit d’intérêt suite à l’acquisition par EskoArtwork de l’intégralité du capital de Gradual Software et à sa nomination comme senior vice president à la tête d’Enfocus, la nouvelle division créée par la fusion des activités d’Enfocus et de Gradual Software.

Avant de prendre début mars 2008 la direction générale de RSD, groupe basé à Genève et spécialisé dans la gestion de contenus, Monsieur Van Beneden a été vice president EMEA d’Adobe Systems Inc. entre mai 2003 et fin 2007. Entre octobre 2001 et janvier 2003, il avait été directeur général de Critical Path, société basée à San Francisco, cotée au NASDAQ et spécialisée dans la fourniture de solutions pour la gestion des messageries électroniques et des identités. Entre 1995 et 2001, il avait occupé chez Lotus Development Corporation, tant avant le rachat de Lotus par IBM qu’après ce rachat, diverses fonctions dont celle d’executive vice president worldwide field operations. Avant de rejoindre Lotus, Monsieur Van Beneden avait travaillé près de 10 ans chez Oracle France et avait occupé diverses positions d’encadrement dans des sociétés du secteur informatique en Europe, notamment Digital Equipment entre 1985 et 1988. Monsieur Van Beneden est titulaire d’un doctorat en gestion de l’université de Paris et d’une maîtrise de gestion de Paris Dauphine.

Johan Volckaerts, président du conseil d’administration de Global Graphics a déclaré : “Nous sommes enchantés de compter désormais Pierre parmi nous. Il nous rejoint au milieu d’une phase intense de développement de nouveaux produits, qui s’est déjà traduite par un accroissement important de notre portefeuille de solutions, et qui est appelée à se poursuivre au long de l’exercice 2008. Nous sommes très heureux de pouvoir ajouter l’expérience de Pierre à celle, déjà forte, des équipes en place.”

En application des dispositions légales applicables, le mandat d’administrateur de Monsieur Van Beneden court jusqu’au terme prévu du mandat détenu jusque là par Monsieur Camps, c’est-à-dire jusqu’au jour de l’assemblée générale réunie en 2010 pour statuer sur les comptes sociaux et consolidés de l’exercice clos le 31 décembre 2009.
Du fait de cette cooptation, le conseil d’administration de la Société a décidé de compléter l’ordre du jour de l’assemblée générale des actionnaires convoquée le 25 avril 2008 par une résolution visant à proposer la ratification par les actionnaires de la nomination à titre provisoire de Monsieur Van Beneden.

Global Graphics’ PDF technology powers new application from Dainippon Screen

  Global Graphics’ PDF technology has been used to provide a powerful feature in a new application launched into the Japanese market by Screen.  LeafThrough allows office users to flip through the pages of multiple electronic documents on their computer monitor, just like turning the pages of a book, without the need to launch application software to view the files.  Screen is planning to export LeafThrough outside Japan from late 2008 onwards.

Screen selected PDF technology from Global Graphics’ new eDocument Library because it has the capability to produce preview images very quickly from PDF files and will allow Screen to add new features to the application in the future including XPS viewing capability and advanced text search features.  According to Screen’s Koji Hatada of Software Ten-nines Company, the eDocument Library was easy to use and as a result they were able to minimise their time to market.

LeafThrough is licenced in standalone and server versions.  It is aimed principally at office users who, every day, create and refer to many different files.  With LeafThrough a user can have many electronic documents open on their monitor at any one time and can search text strings from all the documents to find a target document file very quickly, with the visual motion of the pages turning over. LeafThrough Standalone Version allows the user to find documents using a desktop search engine and to flip through the pages.  The LeafThrough Server Version creates display data from the document on the server so that the user can review pages.  A LeafThrough Viewer is available to office users for viewing company internal documents by connecting client PCs to the company’s Server.

In addition, Screen plans to sell a LeafThrough Contents Viewer to providers of content on DVDs who need viewing technology and search capabilities as well as to software vendors who might want to integrate LeafThrough as a new viewing feature into their own systems.  They will also look to expand LeafThrough into web-based applications in the future.

Within one architecture the eDocument Library meets market demands for smarter applications that can not only smoothly handle the conversion of one document format to another, but allow every aspect of document content to be accessed and/or modified.  eDocument Library provides powerful file format conversion, manipulation, analysis and optimization capabilities with support for industry standard Page Description Languages such as PostScript, PDF, PCL and XPS as well as proprietary formats.

Notice of the ordinary and extraordinary meeting of the shareholders

AGENDA

To consider and, if thought fit, to pass the following resolutions which will be proposed as ordinary resolutions:

  • To hear the report prepared by the Board of Directors relating to the Company’s operations for the year ended 31 December 2007, including any legally required information on the Company’s consolidated accounts for that year;
  • To hear the report prepared by the Chairman of the Board of Directors relating to the preparation and organisation of the meetings of the Board of Directors in the year ended 31 December 2007 and to internal control procedures implemented within the Company;
  • To hear the statutory auditors’ reports on the fulfilment of their assignment as well as their opinion on the Company’s statutory  and consolidated accounts and on the transactions as defined in article  L. 225-38 of the Commercial Code;
  • To approve the Company’s statutory and consolidated accounts for the year ended 31 December 2007, as well as the transactions as defined in articles L. 225-38 and L. 225-42-1 of the Commercial Code which were entered into by the Company in the year ended 31 December 2007;
  • To allocate the net statutory loss for the year ended 31 December 2007;
  • To set the amount of attendance fees allocated to the Board of Directors for the year ending 31 December 2008;
  • To re-appoint Mr. James Freidah as a director of the Company;
  • To re-appoint Mr. Alain Pronost as a director of the Company;
  • To re-appoint KPMG and Mr. Serge Peiffer as statutory and deputy statutory auditors of the Company, respectively; and
  • To give the Board of Directors the authorisation and appropriate authority to allow the Company to repurchase its own shares in accordance with the terms and conditions specified under article L. 225-209 of the Commercial Code.

To consider and, if thought fit, to pass the following resolutions which will be proposed as extraordinary resolutions:

  • To give the Company’s Board of Directors the authorisation and appropriate authority to increase the share capital of the Company, either through the issue of ordinary shares or of any other financial instruments giving right to the share capital of the Company while maintaining the existing shareholders’ preferential subscription rights, or through the incorporation in the share capital of share premiums, retained earnings or otherwise retained profit;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to increase the share capital of the Company, through the issue of ordinary shares or of any other financial instruments giving right to the share capital of the Company while waiving the existing shareholders’ preferential subscription rights;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to increase the share capital of the Company above the initially planned amount of a capital increase in the share in case of an excess of demand over the number of new shares to be issued as a result of the initially planned share capital increase;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to increase the share capital of the Company up to a maximum of 10% of the existing number of shares to pay for any contribution in kind made to the Company in the form of shares or any financial instruments giving right to such shares;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to increase the share capital of the Company through an issue of ordinary shares of the Company which would be reserved to the Company’s employees participating to the Company’s plan d’épargne d’entreprise as defined in article L. 443-1 and subsequent articles of the Labour Code;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to cancel own shares repurchased by the Company in accordance with the terms of the share repurchase  programme defined in article L. 225-209 of the Commercial Code;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to grant share options on the Company’s shares to employees or directors of the Company;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to grant ordinary shares of the Company to employees or directors of the Company at no cost for the recipient of such grant;
  • To give the Company’s Board of Directors the authorisation and appropriate authority to use the abovementioned authorisations in case of a take-over bid or a public offer of exchange on the Company’s shares; and
  • To give powers for registration purposes.

INFORMATION ON VOTING PROCEDURES AND REGISTRATION OF ADDITIONAL DRAFT RESOLUTIONS

Any request for the registration of additional, draft resolutions may be made by those shareholders meeting the conditions set out by article 128 of the 23 March 1967 decree number 67-236, as amended on 11 December 2006, by sending a registered letter to the registered office of the Company no later than twenty-five days ahead of the meeting date. A certificate of ownership in the Company’s shares must be attached to such requests.

In accordance with article 136 of the above-mentioned decree, any shareholder of a company whose shares are admitted to trading on a regulated market or to performing transactions of a central depositary is entitled to participate to a meeting of the shareholders provided that the shares he holds in the Company be registered in his name no later than three business days before the date of the shareholders’ meeting at 00.00 CET, either with the Company’s share registrar for shares registered in the name of the shareholder, or with a registered intermediary entitled to keep securities’ accounts.

The record of bearer shares in securities’ accounts kept by a registered intermediary is duly evidenced by a certificate which may be delivered by the registered intermediary, including by electronic means, which has to be attached to the postal vote form, the proxy statement, or to the request to get an entrance card mentioning the name of the shareholder or the name of the registered intermediary which represents the shareholder. That certificate may also be delivered to the shareholder willing to attend the meeting should he not have received his entrance card at 00.00 CET on the third business day immediately preceding the meeting date.

Should they not be in a position to attend the meeting, shareholders may give a mandate to their spouse or any other shareholder of the Company, send a proxy statement to the Company, or vote by postal vote.

Any shareholder who has followed any of the above-mentioned procedures may still dispose of part of all of the shares he holds in the Company. However, should such disposal occur no later than 00.00 CET on the third business day immediately preceding the meeting date, the Company will be entitled to cancel or amend the postal vote, proxy statement, entrance card or certificate of participation of the shareholder based on information of such disposal provided by the registered intermediary to the Company or its share registrar. The registered intermediary has no obligation to notify the Company of any share disposal or other types of share transactions which would be entered into after 00.00 CET on the third business day immediately preceding the meeting date, even in the existence of an agreement providing for the opposite.

A single form which may be used either to vote by proxy statement or by postal vote will be mailed to all shareholders who have registered their shares with the Company’s share registrar.

Shareholders may obtain the documents set out in articles 133 and 135 of the above mentioned decree by sending a request in writing to CACEIS Corporate Trust, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 09 (France). These documents will also be available for inspection at the registered office of the Company.

Should a shareholder decide to vote by postal vote, he will no longer be entitled to vote by proxy statement or attend the meeting in person.

The postal voting form shall be sent to CACEIS Corporate Trust no later than three days ahead of the meeting date.

In accordance with provisions of article 135-1 of the above-mentioned decree, any shareholder is entitled to put questions in writing to the Chairman of the Board of Directors of the Company from the date of issue of this notice. Such questions shall be asked by sending a registered letter to the registered office of the Company no later than four business days ahead of the meeting date. A certificate of ownership in the Company’s shares must be attached to such requests.

The present notice is valid as the notice of the meeting, provided that no modifications are made to the agenda subsequent to requests for the registration of draft resolutions submitted by shareholders.

Global Graphics releases Version 2.0 of the Jaws PDF Desktop Suite

Global Graphics has launched Version 2.0 of the Jaws PDF Desktop Suite, a comprehensive PDF solution in one easy-to-use package for the single user, small office and enterprise.  Platform support has been added for Windows Vista and Microsoft Office 2007 to this popular tool that combines Jaws PDF Creator and Jaws PDF Editor into a single installer to provide high-quality PDF creation, assembly, merge, mark-up and forms-fill.

The Jaws PDF Desktop Suite v.2.0 builds on an already powerful range of functions.  For only 89 USD/69 Euro/47GBP (SRP) users can create high-quality PDF files, use powerful commenting tools such as sticky notes, a highlight pen, underline and strikeout, and can easily format and assemble PDF files by inserting, extracting, rotating and deleting pages.  Document navigation can be enhanced through bookmark creation and formatting tools.  Features include:

  • Easy PDF creation from any Microsoft® Windows® application
  • ‘One click’ creation from Microsoft Word, Excel and PowerPoint files
  • View, navigate, search and print PDF files.  You can Navigate via bookmarks, the page list, thumbnails, or links and search for words or phrases in the file.
  • Review and mark up with comments:  you can create, edit, save and import and export comments directly in a PDF file. Mark-up tools include Note,Highlight, Strikeout, and Underline each with an associated pop-up comment window to add additional information. Additionally, users can share comments among other reviewers using import and export comments.
  • Assemble PDF files: document assembly tools include Insert, Delete, Reorder, Rotate, and Extract pages. File Open settings determine how the document displays when opened. Users can add, delete, format and rearrange bookmarks to enhance navigation. The Finish DocumentWizard steps through a checklist of settings to prepare the file for distribution.
  • Form-fill and import/export form data: fill out a PDF form, edit, save, print, e-mail and import and export field data once you’ve finished.
  • Secure PDF files using 128-bit encryption

The Jaws PDF Desktop Suite is compatible with the PDF specification up to 1.6, and runs on: Windows® XP, Windows XP x64 and Windows Vista; Windows 2003 Server and Windows 2003 Server x64; Windows Terminal Services on Windows 2003 Server; Citrix Presentation Server 4.0/4.5 on Windows 2003 Server; (Creator only) Microsoft Office XP,2003 and 2007; (Creator only) MacOS X (up to 10.4 PowerPC only).
