Cambridge (UK), 5 July 2023: Hybrid Software Group is primed to showcase its innovative stack of products which power the heart of industrial printing at Labelexpo Europe 2023, from 11th to 14th September 2023 in Hall 8 B/45. HYBRID Software will be demonstrating innovations to the PACKZ and STEPZ PDF editors for prepress and the CLOUDFLOW modular production workflow suite for file processing, asset management, soft proofing and workflow automation.

The newest features of PACKZ include Advanced Color: Analyze & Fix for intelligent production estimation, which provides a snapshot of printed artwork under various printing conditions, including different spot colour strategies. The feature is designed to help label and packaging producers accurately reproduce brand colours using the fewest possible spot colours and therefore the lowest production cost. Other recent developments include Content XML for dynamic content creation using standard markup language, step and repeat for complex label production, and Packzimizer for intelligent ganging of labels, including sheet-fed and flexibles.

CLOUDFLOW’s highlights include the brand-new integration with ColorLogic technology for state-of-the-art spectral colour prediction, new flexo plate layout features in Tectonics, and Intelligent Flexo, the surface screening solution for high-quality flexo printing across a wide variety of plates and substrates. At Labelexpo, visitors will experience first-hand the launch of Velvet Screening, the next-generation hybrid AM/FM screening technology for flexo printing and learn more about MyCLOUDFLOW, the SaaS offering of CLOUDFLOW, perfect for companies looking to modernise and ramp up production without the cost and hassle of initial setup and IT operation.

iC3D Software, developer of 3D visualisation and rendering solutions, will be demonstrating Version 9 of the iC3D Suite. Closing the gap for high-resolution rendering, iC3D Software will introduce CLOUDFLOW and iC3D Automate for high-volume 3D rendering production. Booth visitors will see the benefits of automated workflow integration and the cutting-edge technological innovation in its latest release.

ColorLogic GmbH, leading provider of cutting-edge colour management software solutions, will be providing live demonstrations of ColorLogic’s three flagship products: ColorAnt, CoPrA, and ZePrA and how they integrate with PACKZ and CLOUDFLOW.

Global Graphics Software will be presenting live demos of SmartDFE™, the fastest Digital Front End (DFE) for digital printing of labels and packaging. Also on display will be SmartMedia™, a suite of components that simplifies the process of obtaining the best quality and colour output from a digital press. Available with SmartDFE, SmartMedia also controls PrintFlat™ screens and ColorLogic™ colour profiles. SmartMedia packages all the OEM’s reference press settings for each media and ink set into a library of media definitions and enables press operators to easily select the appropriate media and ink set combination without needing specialist knowledge.

Meteor Inkjet will showcase their complete portfolio of industrial inkjet solutions for labels and packaging including the world’s largest range of electronics driving all major industrial inkjet printheads; cutting-edge printhead nozzle status detection and image quality enhancement technologies; software development kits enabling bespoke printers to be built from the ground up; and DropWatcher Systems to support printer OEMs in the design, optimisation and production of inkjet print systems.

Xitron, developer of Harlequin-based Navigator RIP and workflow products for litho, flexo, screen, digital, and high-speed inkjet, will be highlighting the powerful Navigator Flexo Suite: turnkey workflow automation optimised for flexo label printers, with a macOS- and Windows-compatible client interface, hybrid screening, advanced and automated step-and-repeat functionality, and robust trapping tools. Navigator Flexo Suite with SmartFlexo screening is completely configurable based on printing conditions.  Finally, Xitron will also demonstrate Navigator DFE, the dynamic Harlequin-based front end for high-speed digital inkjet presses.

New release of Mako Core unleashes the power of intelligent print solutions

Global Graphics Software announces the release of Mako Core™ version 7.0, a groundbreaking update to the popular SDK aimed at developers who create document processing and manipulation capabilities for print applications. Named after the mako shark for its speed and intelligence, Mako Core 7.0 introduces an intelligent Document Object Model (iDOM) that provides unparalleled access to every aspect of a document’s composition, including fonts, images, vector art, layers, and metadata. Hybrid Software Group Q1 revenue up 12% over last year

Cambridge (UK) 04 May 2023 (08.00 CEST) – Hybrid Software Group PLC (Euronext: HYSG) provides a trading update for the three months ended 31 March 2023.

CEO Mike Rottenborn comments, “The first quarter of 2023 saw recovering sales in the Printing Software segment with the first marquee sale of our new Digital Front End, SmartDFE, which drives digital inkjet presses with excellent print quality and maximum speed. Printhead Solutions revenues significantly recovered year-over-year as the chip shortages which heavily impacted Q1 2022 revenues have abated.

“Group EBITDA was up in Q1 mainly due to increased revenue. In the Printhead Solutions segment, higher input costs resulting from sourcing difficulties and higher component prices in 2022 did weigh on overall margin contribution, which will continue for some time throughout 2023.  However, we anticipate higher revenues from the Enterprise Software segment to offset this.

Although business conditions remain challenging, we have a tight control on costs to insure profitable growth now and in the future.”

 

Financial highlights for the three months ended 31 March 2023

  • Revenue for the period was €13.96 million (2022: €12.45 million)
  • EBITDA for the period was €3.25 million, or 23% of revenue (2022: €2.74 million, 22% of revenue)

Hybrid Software Group PLC reports strong 2022 results with €46.7 million revenue and €10.9 million EBITDA

Cambridge (UK), 12 April 2023 (07:00 CEST): Hybrid Software Group PLC (Euronext: HYSG) announces that it has published its annual report and financial statements for the financial year ended 31 December 2022.

CEO Mike Rottenborn comments, “We entered 2022 with bullish growth projections until the economic downturn began to affect our OEM and our end-user business.  In addition, during the first half of the year our revenues were impacted by the global shortage of semiconductor chips.  Meteor Inkjet’s revenue fell short of projections by more than £4 million during this period. Their team quickly redesigned a critical circuit board using a chip that was more widely available, but the lost first-half revenue was not fully recovered in 2022. I’m pleased to say that 2023 has started very strongly for Meteor, with revenues recovering to healthy levels and demand from China increasing rapidly.

 

“Despite all the challenges, we completed two strategic acquisitions, sold an old and unused intangible asset for net €3.3 million, achieved four new patents, and drew the constituent parts of the business closer together into one company, reorganising R&D resources and pushing ahead with product innovation to the benefit of our customers. There’s no doubt that Hybrid Software Group has emerged from 2022 as a stronger company. We have best-in-class technology, a sound business plan focussed on markets that are trending upwards, and strong cash position of Euros 6.3 million.”

 

Executive Chairman Guido Van der Schueren adds, “2022 was a year of mixed results and we fell short of our growth projections in both revenue and net profit. We acted quickly in response, taking prudent steps to conserve cash and reduce our cost structure, especially external spending. But we never sacrificed the long-term value of Hybrid Software Group. We did not cut any of our key personnel or reduce R&D spending, and if anything, we stepped up our sales efforts and increased the company’s presence at key trade shows and industry events. We have broadened our potential customer reach by offering successful products for all digital printing applications and I anticipate a much higher level of growth and profitability in the very near future.”

The consolidated pre-tax result for continuing operations was €1.84 million compared with a profit of €4.57 million in 2021. The decrease in profitability of €2.73 million was due to:

 

  • a decrease in revenue of €1.87 million;
  • a decrease in cost of sales of €1.09 million;
  • an increase in selling, general and administrative expenses of €4.38 million;
  • an increase in research and development expenses of €0.78 million;
  • a decrease in other operating expenses of €0.18 million;
  • an increase in other income of €3.27 million;
  • an increase in net finance expenses of €0.79 million; and
  • a decrease in foreign exchange losses of €0.55 million.

 

Revenue for the Printing Software segment was €15.26 million for the year (2021: €13.84 million).

 

Revenue for the Printhead Solutions segment was €8.66 million for the year (2021: €13.98 million). This segment was severely impacted by the shortage of its most commonly used chip until a critical circuit board was redesigned using a different component in mid-2022.

 

Revenue for the Enterprise Software segment was €22.78 million for the year (2021: €20.74 million).

 

Gross profit for the period increased to 84.2% of revenue (2021: 82.5%), primarily due to the higher mix of

software related sales during the year, particularly higher margin sales to end users by HYBRID Software.

 

Included in selling, general and administrative expenses is amortisation of €1.17 million (2021: €0.84 million)

related to intangible assets recognised as a result of acquisitions.

 

Research and development expenses includes the capitalisation and amortisation of internally generated intangible assets and the amortisation of certain intangible assets recognised as a result of acquisitions. During the period there was a net capitalisation of development expenditure of €2.00 million (2021: €2.39 million) and amortisation of acquired intangible assets of €5.10 million (2021: €3.93 million).

 

The net capitalisation of development expenditure comprised €4.0 million (2021: €3.40 million) of capitalised expenditure less €2.0 million (2021: €1.01 million) of amortisation.

The third quarter results were favourably impacted by the sale of an unused asset (approximately 69,000 IPv4 internet addresses) for a net amount of €3.3 million which closed in July. Given the nature of the sale this income is reported as “Other Income” and is not included in our revenue figures, but it is accretive to EBITDA.

 

Total operating expenses increased by €4.98 million, or 14.1% compared to the same period in the prior year. The increase was mainly due to higher sales & marketing related expenditures, increased amortization expenses and higher staff cost resulting from the acquisitions of ColorLogic and Hybrid Iberia in Q4 2021, and iC3D in Q1 2022.

 

Foreign exchange gains and losses were primarily due to the revaluation of currency balances held at the balance sheet date and the change in exchange rates during the year.

 

The Company presents EBITDA (earnings before interest, tax, depreciation and amortisation) and adjusted profit when reporting its financial results to provide investors with an additional tool to evaluate the Group’s results in a manner that focuses on what the Group believes to be its underlying business operations.  The Group’s management believes that the inclusion of adjusted financial results provides consistency and comparability with past reports.

Amendment to 2023 reporting calendar

Cambridge (UK), 29 March 2023 (18:00 CEST):  Hybrid Software Group (Euronext: HYSG) amends the date of publication of its annual report and financial statements for the year ending 31 December 2022 (“Annual Report”) to 12 April 2023.

The amendment is necessary because the Company’s UK auditor, KPMG LLP, is waiting for the final stage of its accreditation from the Belgian Finance Ministry. As a consequence, the Company will now publish the Annual Report before the market opens on 12 April 2023.

Annual General Meeting

Due to the unavoidable delay in releasing the Annual Report, the date of the annual general meeting (“AGM”) will be delayed by two weeks. The Company expects to hold its AGM on Wednesday 24 May 2023 in Cambridge, United Kingdom.  The meeting’s timing, venue, and final agenda will be provided in accordance with applicable legal and regulatory provisions.

Hybrid Software Group kondigt goedkeuring van prospectus en toelating van aandelen voor openbare handel aan volgend op de overname van HYBRID Software

Cambridge (VK) 28 december 2022 (08.00 CET) – Hybrid Software Group PLC (Euronext: HYSG) is verheugd aan te kondigen dat de prospectus inzake de overname van HYBRID Software daterend van januari 2021 werd goedgekeurd voor openbare publicatie en beschikbaar werd gesteld op www.hybridsoftware.group/investors/hybrid-software-acquisition. De 21.074.030 nieuwe aandelen die werden uitgegeven als vergoeding voor de aankoop van HYBRID Software zullen op 28 december 2022 noteren voor verhandeling op Euronext Brussels.

Hoewel de transactie bijna twee jaar geleden werd gedaan, werd het proces ter publicatie van de Prospectus en de notering van de nieuw uitgegeven aandelen danig vertraagd door ongewenste gevolgen van Brexit op het regelgevende kader en de unieke situatie van ons bedrijf met hoofdzetel in het Verenigd Koninkrijk maar met notering op Euronext Brussels. Dit weerhield ons er echter niet van om HYBRID Software te integreren als de grootste component van Hybrid Software Group, zowel qua personeel als qua omzet. De overname is al een succes en levert reeds synergiën op voor het bedrijf.”

Hybrid Software Group annonce l’approbation du prospectus pour l’acquisition de HYBRID Software et l’admission d’actions à la négociation

Cambridge (Royaume-Uni) 28 décembre 2022 (08h00 CEST) – Hybrid Software Group PLC (Euronext: HYSG) a le plaisir d’annoncer que le prospectus relatif à l’acquisition de HYBRID Software en janvier 2021 a été approuvé pour diffusion publique et est disponible à l’adresse https://www.hybridsoftware.group/investors/hybrid-software-acquisition. Les 21.074.030 nouvelles actions qui ont été émises en contrepartie de l’achat d’HYBRID Software seront cotées sur Euronext Bruxelles le 28 décembre 2022.

Bien que la transaction ait été finalisée il y a près de deux ans, des changements comptables après le Brexit ont retardé la publication du Prospectus et la cotation des actions supplémentaires. Mais cela ne nous a pas empêchés d’intégrer HYBRID Software en tant que composant le plus important d’Hybrid Software Group, tant en termes d’effectifs que de chiffre d’affaires. Hybrid Software Group announces approval of prospectus for acquisition of HYBRID Software and admission of consideration shares for trading

Cambridge (UK) 28 December 2022 (08.00 CET) – Hybrid Software Group PLC (Euronext: HYSG) is pleased to announce that the Prospectus for the January 2021 acquisition of HYBRID Software has been approved for public release and is available at https://www.hybridsoftware.group/investors/hybrid-software-acquisition.  The 21,074,030 new shares that were issued as consideration for the purchase of HYBRID Software will be listed for trading on Euronext Brussels on 28 December 2022.

Guido Van der Schueren, Chairman of Hybrid Software Group, comments, “We are happy to conclude this final step in the successful acquisition of HYBRID Software.  Although the transaction was completed nearly two years ago, accounting changes after Brexit delayed the publication of the Prospectus and the listing of the additional shares for trading.  But this didn’t stop us from integrating HYBRID Software as the largest component of Hybrid Software Group, both in headcount and revenue.  The acquisition has already been a success and continues to deliver additional synergies to the company.”
