Revealed at drupa: Independent speed tests confirm sheer power and consistency of the new Harlequin “digital” RIP

  • delivers pages at over 20 times the rate required by the leading label press or 11 times faster than the leading full-color cut-sheet device using one RIP
  • plenty of head room to keep presses running at full speed even on complex or badly constructed jobs

Independent speed tests carried out by the Rochester Institute of Technology (RIT) on the latest release of the new generation Harlequin RIP®, show that it delivers pages far in excess of the rated speeds of the industry’s highest performing digital presses.

The results, published today at drupa in a new White Paper authored by InfoTrends, confirm that the Harlequin Host Renderer has so much processing speed that it not only reduces the risk of poorly constructed jobs slowing down production but exceeds industry requirements in keeping presses running at full speed.  This amount of power has benefits for press manufacturers in potentially reducing their bill of materials for the digital front ends driving presses. It benefits print shops by providing a faster return on press investment and future-proofing their operation against the accelerating trend towards personalization of data.

The tests were conducted by RIT’s School of Media, under the auspices of Administrative Chair and Gannett Distinguished Professor, Chris Bondy. The test file suite, developed by RIT, comprised files created using Adobe InDesign, Quark XPress, XMPie and GMC, selected to provide a good representation of the standard production tools used to create static and variable data pages for six sample categories –  label printing, direct mail, transactional printing, commercial printing, publications and photo books.

“The global digitization of all content is driving the use of more imagery and personalized content in all printed material”, says Chris Bondy. “Print service providers world-wide are interested to see how enhancements in software architecture, coupled with the latest computing systems, can efficiently and accurately deliver pages to a digital press.   That’s why Global Graphics asked us to develop an independent test suite and conduct a RIP processing test that represents the range of printing markets served by digital print.”

The headline results, reported in full in the White Paper, have significant implications for the digital printing industry:  

  • manufacturers of light and medium production devices can reduce time to market by using a single RIP;
  • vendors of high and ultra-high volume devices can minimize the costs of their DFE using multiple RIPs.  

The speed tests show that the Harlequin Host Renderer delivers:

  • Label printing
    • Over 20 times the rate required by the leading label press using one RIP;
  • Transactional/direct mail (variable data printing)
    • 4 times faster than the rate required by the  leading continuous feed color devices using a server with 10 RIPs  
    • 5 times faster than the leading toner cut-sheet color devices using one RIP;
  • Commercial (assuming a minimum run length of  20 copies)
    • 11 times faster than the rate required by the leading full-color, cut-sheet device
    • 20 times faster than the rate required by high-end MFP cut-sheet color devices using one RIP;
  • Publication (assuming a minimum run length of 20 copies)
    • 11 times faster than the rate required by an ultra-high volume wide-web inkjet press with a server of 10 RIPs;
    • 24 times faster than the rate required by a medium volume, full-color graphic arts production press with one RIP.

 “The high-speed inkjet printing market is expected to grow phenomenally in terms of speed, width and productivity which will put tremendous requirements on the RIP”, says Kaspar Roos, associate director, InfoTrends.  “Global Graphics has highly efficient, scalable and robust technology to play in this market.  OEMs developing high-speed, high-volume printing equipment should consider adding Global Graphics to their evaluation list when sourcing RIP technology.”

The Harlequin Host Renderer provides high performance components with which to build Digital Front Ends for digital production presses. A number of new features in Version 3 increase processing power so that pages pass through the RIP at a faster pace than ever before:

  • Harlequin Parallel Pages™ allows the RIP to interpret one page while it’s still rendering the previous one. This allows print shops to take maximum advantage of multi-core computers.
  • Harlequin VariData™ accelerates the processing time of regular PDF files containing variable data including, but not only, PDF/VT files.
  • The Harlequin Host Renderer is also available as a 64-bit build to access additional memory when it’s needed for pages with large amounts of data.

Press manufacturers at drupa who use Harlequin to drive their digital presses include HP Indigo, and HP inkjet web division ( Hall 4/D60), Tokyo Kikai Seisakusho ( Hall 15/B55) and Miyakoshi Printing Machinery (Hall 9/A04).

Outcome of the combined meeting of shareholders held on 27 April 2012

All proposed resolutions were passed at the combined meetings of the shareholders of Global Graphics SA (NYSE-Euronext: GLOG) which was held on 27 April 2012 in Brussels, with unanimous or extremely large consent.

Resolutions passed at the ordinary meeting of the Company’s shareholders

Passed resolutions at the ordinary meeting of the Company’s shareholders included the approval of the Company’s 2011 statutory and consolidated accounts, the approval of certain transactions entered into by the Company in the financial year ended 31 December 2011, the allocation of the statutory net profit for that year, as well as the allocation of € 60,000 as attendance fees to the Board for the current year.

In addition, the Company’s shareholders voted to:

  • re-appoint Messrs. Gary Fry and Alain Pronost as directors of the Company for another four-year mandate which will come to term at the close of the annual meeting held in 2016 to approve the accounts of the last financial year then ended (sixth and seventh resolutions);
  • renew for a 26-month period the authority given to the Company’s Board of Directors to operate a Share Incentive Plan (SIP) under which the Board may decide to grant free shares to employees and/or directors of the Company, the maximum number of shares which may be granted pursuant to this authorization being 150,000, such number also including the options and free shares granted by the Board pursuant to the eighteenth and nineteenth resolutions of this meeting.
    This authorization cancels the unused portion of the existing authorization having the same purpose which was granted to the Board on 16 June 2011 (eighth resolution).
  • renew for a 18-month period the authority granted to the Board to operate a share repurchase program pursuant to which the Company is entitled to repurchase up to one million of its own shares at a maximum share price of € 10.00 per share.
    This authorization cancels the unused portion of the existing authorization having the same purpose which was granted to the Board by the shareholders on 16 June 2011 and was due to expire on 16 December 2012 (ninth resolution).

Resolutions passed at the extraordinary meeting of the Company’s shareholders

Passed resolutions at the extraordinary meeting of the Company’s shareholders provided the Board with the authorization and appropriate authority to:

  • firstly, cancel up to a million of the Company’s own shares previously repurchased as part of the share repurchase program the implementation of which was authorized by the shareholders in the ninth resolution of today’s meeting, such authorization being granted for a 24-month period (tenth resolution);
  • secondly, to increase the Company’s share capital, in one or several instances, at the Board’s entire discretion, up to a maximum amount of € 10 million, through the incorporation in the share capital of premiums, retained earnings, otherwise retained profit or of any amount the incorporation of which in the share capital is possible, such authorization being granted for a 26-month period, and cancelling the existing, similar authorization granted to the Board by the shareholders on 23 April 2010 which was due to expire on 23 June 2012 (eleventh resolution); and
  • thirdly, to increase the Company’s share capital, in one or several instances, at the Board’s entire discretion, up to a maximum nominal amount of € 2 million, through the issue of ordinary shares and/or financial instruments giving right to the share capital and/or the allocation of debt securities, either by maintaining the preferential subscription right attached to existing shares or by waiving such right (effected either through a public offering or a private placement), these authorizations being granted for a 26-month period, and cancelling the existing, similar authorizations granted to the Board by the shareholders on 23 April 2010 which were due to expire on 23 June 2012 (twelfth, thirteenth, and fourteenth resolutions).

The Board was also granted appropriate authority to:

  • increase the share capital of the Company above the initially planned amount of a capital increase should the demand for shares be higher than the number of shares contemplated for initial issue when the Board made use of the authorizations to increase the Company’s share capital either by maintaining the preferential subscription right attached to existing shares or by waiving such right. This authorization was granted for a 26-month period (fifteenth resolution);
  • increase the share capital of the Company up to a maximum of 10% of the existing number of shares to pay for any contribution in kind made to the Company in the form of shares or of any other financial instruments giving right to such shares. This authorization was granted for a 26-month period, and cancels the existing, similar authorization granted to the Board by the shareholders on 23 April 2010 which was due to expire on 23 June 2012 (sixteenth resolution);
  • increase the share capital of the Company through an issue of ordinary shares of the Company which would be reserved to the Company’s employees participating in the Company’s Plan d’Epargne Entreprise. This authorization was granted for a 26-month period, and cancels the existing, similar authorization granted to the Board by the shareholders on 23 April 2010 which was due to expire on 23 June 2012 (seventeenth resolution);
  • grant options to subscribe for new shares and/or purchase existing shares to employees and/or directors of the Company, up to a total number of 150,000 shares, such number including all of the shares granted under or outside of the SIP pursuant to the eighth and nineteenth resolutions. Such authorization was granted for a 38-month period and cancelled the unused portion of the existing authorization to grant options, which was granted to the Board by the shareholders on 16 June 2011 (eighteenth resolution);
  • effect grants of free, existing or new shares to employees and/or directors of the Company, up to a total number of 150,000 shares, such number including all of the shares granted under the SIP and/or all of the options granted pursuant to the eighth and eighteenth resolutions. Such authorization was granted for a 38-month period and cancelled the unused portion of the existing authorization to grant free shares, which was granted to the Board by the shareholders on 16 June 2011 (nineteenth resolution); and
  • use the authorizations and authority granted to the Board by the shareholders during the present meeting in case of a take-over bid or a public offer of exchange on the Company’s shares, within the limits set by article L.233-33 of the French Commercial Code. This authorization was granted for an 18-month period, and cancelled the existing, similar authorization which granted by the shareholders on 16 June 2011 (twentieth resolution).
The Company’s shareholders also voted to adopt the amendments to the provisions of article 15 of the Company’s articles of association as proposed by the Board which related to the minimum number of shares to be held by a director of the Company and the period to acquire these shares (twenty-first resolution).

Information on the number of shares forming the Company’s share capital and attached voting rights
On 27 April 2012 the total number of ordinary shares forming the Company’s share capital was 10,289,781.
A total of 10,296,501 voting rights were attached to these shares, taking into account the 6,720 shares to which a double voting right was attached.
The total number of voting rights which were exercisable in the shareholders’ meetings was 10,130,234 taking into account the 166,267 own shares held by the Company at that date, which were each deprived of their voting rights.

Compte-rendu de l’assemblee generale mixte du 27 avril 2012

L’assemblée générale mixte des actionnaires de GLOBAL GRAPHICS SA (NYSE-Euronext : GLOG), qui s’est réunie le 27 avril 2012 à Bruxelles, a voté l’ensemble des résolutions qui lui étaient proposées, tant à caractère ordinaire qu’à caractère extraordinaire, à l’unanimité ou à une écrasante majorité.

Résolutions adoptées lors de l’assemblée générale ordinaire (AGO)
Outre l’approbation des comptes sociaux et consolidés de l’exercice clos le 31 décembre 2011, des diverses conventions conclues au cours de ce même exercice, de la proposition d’affectation du résultat social dégagé au titre de cet exercice, et de l’octroi de la somme de € 60 000 à titre de jetons de présence au conseil d’administration pour l’exercice en cours, les actionnaires ont également décidé au cours de cette AGO :

  • de renouveler les mandats d’administrateurs de Messieurs Gary Fry et Alain Pronost pour une nouvelle durée de quatre années s’achevant au terme de l’assemblée réunie en 2016 pour approuver les comptes du dernier exercice écoulé (sixième et septième résolutions) ;
  • de reconduire, pour une durée de 26 mois, l’autorisation donnée au conseil d’administration d’attribuer gratuitement des actions ordinaires de la Société dans le cadre du Share Incentive Plan (SIP), dans la limite de 150 000 actions, sur ce plafond s’imputant les options qui seraient octroyées et/ou les actions qui seraient attribuées gratuitement en application des dix-huitième et dix-neuvième résolutions à caractère extraordinaire adoptées par les actionnaires lors de l’assemblée, cette autorisation mettant un terme à l’autorisation de même nature qui avait été donnée le 16 juin 2011 (huitième résolution),
  • de reconduire, pour une durée de 18 mois, l’autorisation donnée au conseil d’administration de mettre en œuvre un programme de rachat d’actions propres, aux termes duquel est possible le rachat d’un maximum d’un million d’actions de la Société à un cours maximal de € 10,00 l’action, cette autorisation mettant un terme à l’autorisation de même nature qui avait été donnée le 16 juin 2011 et venant à échéance le 16 décembre 2012 (neuvième résolution).
Résolutions adoptées lors de l’assemblée générale extraordinaire (AGE)
Les résolutions votées lors de l’AGE ont donné au conseil d’administration la compétence pour :

  • n        premièrement, procéder à l’annulation des actions rachetées dans le cadre du programme de rachat d’actions propres objet de la neuvième résolution, dans la limite d’un million d’actions, cette autorisation étant accordée pour une durée de 24 mois (dixième   résolution),
  • deuxièmement, augmenter, en une ou plusieurs fois, à la seule discrétion du conseil d’administration, le capital social d’un montant maximal de 10 millions d’euros, par incorporation au capital de réserves, bénéfices, primes ou autres sommes dont la capitalisation serait admise, cette délégation de compétence étant accordée pour une durée de 26 mois et privant d’effet la délégation antérieure accordée par l’assemblée générale du 23 avril 2010 venant à échéance le 23 juin 2012 (onzième résolution),
  • troisièmement, augmenter en une ou plusieurs fois, à la seule discrétion du conseil d’administration, le capital social d’une valeur nominale maximale de 2 millions d’euros, par émission d’actions ordinaires et/ou de valeurs mobilières donnant accès au capital et/ou donnant droit à l’attribution de titres de créance, soit en maintenant, soit en supprimant le droit préférentiel de souscription attaché aux actions existantes (dans le cadre d’une offre au public ou d’un placement privé), ces délégations de compétence étant accordées pour une période de 26 mois, et privant d’effet les délégations antérieures accordées par l’assemblée générale du 23 avril 2010 venant à échéance le 23 juin 2012 (douzième, treizième, et quatorzième résolutions).

Diverses autres délégations de compétence et autorisations ont également été données au conseil d’administration par les actionnaires de la Société lors de cette assemblée :

  • l’autorisation, valable pour une durée de 26 mois, d’augmenter le montant des émissions décidées avec maintien ou suppression du droit préférentiel de souscription lorsque le conseil constate une demande de titres excédentaire par rapport au nombre de titres initialement proposé (quinzième résolution),
  • l’autorisation, valable pour une durée de 26 mois et qui prive d’effet l’autorisation antérieure accordée par l’assemblée générale du 23 avril 2010 venant à échéance le 23 juin 2012, de procéder à l’augmentation du capital social, dans la limite de 10% de son montant, en vue de rémunérer des apports en nature de titres de capital ou de valeurs mobilières donnant accès au capital (seizième résolution),
  • l’autorisation, valable pour une durée de 26 mois et qui prive d’effet l’autorisation antérieure accordée par l’assemblée générale du 23 avril 2010 venant à échéance le 23 juin 2012, de procéder à une augmentation de capital réservée aux adhérents d’un plan d’épargne d’entreprise, d’un montant maximal de € 40 000 (dix-septième résolution),
  • l’autorisation, valable pour une durée de 38 mois, d’octroyer des options d’achat et/ou de souscription d’actions aux salariés et/ou mandataires sociaux, dans la limite du plafond de 150 000 actions commun avec celui avec celui visé aux huitième et dix-neuvième résolutions permettant l’attribution gratuite d’actions dans le cadre et en dehors du SIP, cette autorisation mettant fin à l’autorisation de même nature donnée par l’AGE du 16 juin 2011 (dix-huitième résolution) ;
  • l’autorisation, valable pour une durée de 38 mois, d’attribuer gratuitement des actions ordinaires, existantes ou à émettre, aux salariés et/ou mandataires sociaux, dans la limite du plafond de 150 000 actions commun avec celui visé aux huitième et dix-huitième résolutions permettant l’attribution gratuite d’actions dans le cadre du SIP et l’octroi d’options visé, cette autorisation mettant fin à l’autorisation de même nature donnée par l’AGE du 16 juin 2011 (dix-neuvième résolution) ;
  • l’autorisation, valable pour une durée de 18 mois, et qui prive d’effet l’autorisation antérieure accordée par l’AGE du 16 juin 2011, d’utiliser les délégations de compétences et/ou les autorisations données au conseil par les actionnaires au cours de la présente assemblée en période d’offre publique d’achat ou d’échange des titres de la Société, dans les limites posées par l’article L.233-33 du Code de commerce (vingtième résolution).

Modifications apportées aux statuts de la Société
Les actionnaires ont également adopté les modifications proposées par le conseil d’administration dans la rédaction de l’article 15 des statuts de la Société relatives au nombre minimal d’actions que chaque administrateur de la Société doit détenir et au délai pour les acquérir (vingt-et-unième résolution).

Au jour de l’assemblée générale, le nombre d’actions formant le capital de la Société était de 10 289 781 actions, auxquelles étaient rattachés 10  296 501 droits de vote, du fait de l’existence de  6 720 actions auxquelles était rattaché un droit de vote double.
Le nombre de droits de vote exerçables en assemblée était de 10 130 234, compte tenu des 166 267 actions auto-détenues par la Société, qui étaient privées des droits de vote qui leur étaient attachés.

Global Graphics: resultats consolides du premier trimestre 2012

Pompey (France), le 27 avril 2012 – GLOBAL GRAPHICS SA (NYSE-Euronext : GLOG), groupe à l’expertise reconnue dans le développement de solutions performantes pour la gestion de documents électroniques et l’impression numérique, a annoncé ses résultats consolidés pour le premier trimestre 2012, qui font apparaître un chiffre d’affaires de 2,0 millions d’euros et une perte nette de 0,3 million d’euros, en ligne avec les attentes de la direction pour la période.

La comparaison des chiffres-clés du premier trimestre 2012 avec ceux du premier trimestre 2011 met en exergue les éléments suivants :

  • un chiffre d’affaires consolidé de 2,0 millions d’euros ce trimestre (2,0 millions d’euros également à taux de change constants), contre 2,1 millions d’euros au premier trimestre 2010,
  • un résultat opérationnel négatif de 0,3 million d’euros ce trimestre, comme au premier trimestre 2011,
  • un résultat opérationnel retraité négatif de 0,3 million d’euros ce trimestre, comme au premier trimestre 2011,
  • un résultat avant impôt retraité négatif de 0,3 million d’euros ce trimestre (soit une perte avant impôt retraitée de € 0,03 par action), contre un résultat avant impôt retraité négatif de 0,4 million d’euros (soit une perte avant impôt retraitée de € 0,04 par action) au premier trimestre 2011,
  • une perte nette de 0,3 million d’euros ce trimestre (soit une perte nette de € 0,03 par action), contre une perte nette de 0,1 million d’euros au premier trimestre 2011 (soit une perte nette de € 0,01 par action),
  • une perte nette retraitée de 0,3 million d’euros ce trimestre (soit une perte nette retraitée de € 0,03 par action), contre une perte nette retraitée de 0,1 million d’euros au premier trimestre 2011 (soit une perte nette retraitée de € 0,01 par action).

Gary Fry, directeur général du groupe Global Graphics, a commenté ces chiffres comme suit : “nos ventes et nos résultats sont en ligne avec nos attentes pour le premier trimestre de l’exercice.”
“Dans le marché de l’impression commerciale, nous avons poursuivi ce trimestre notre pénétration de ce marché en concluant deux nouveaux contrats de fourniture de notre technologie RIP pour des applications d’impression jet d’encre à grande vitesse. “Nous avons lancé la plateforme logicielle Binder dédiée au marché du droit en janvier dernier ; la réaction tant des intégrateurs de systèmes que des cabinets d’avocats a été très positive et a mis en exergue le fait que notre technologie arrivait à point pour pallier un manque sur ce marché.”

Resultaten Global Graphics eerste kwartaal 2012

GLOBAL GRAPHICS SA (NYSE-Euronext: GLOG), de expert in de ontwikkeling van software voor e-documenten en druktoepassingen, maakt de geconsolideerde financiële resultaten bekend van het kwartaal eindigend op 31 maart 2012, rapporteert een omzet van 2,0 miljoen euro en een nettoverlies van 0,03 euro per aandeel voor het kwartaal, overeenkomstig de verwachtingen van het management voor deze periode.

De vergelijkingen van het eerste kwartaal van het boekjaar eindigend op 31 december 2012 met hetzelfde kwartaal van vorig boekjaar omvatten:

  • omzet van 2,0 miljoen euro dit kwartaal (2,0 miljoen euro eveneens tegen wisselkoersen van Q1 2011) t.o.v. 2,1 miljoen euro in Q1 2011;
  • bedrijfsverlies van 0,3 miljoen euro dit kwartaal, zoals in Q1 2011;
  • aangepast bedrijfsverlies van 0,3 miljoen euro dit kwartaal, zoals in Q1 2011;
  • aangepast bedrijfsverlies vóór belastingen voor dit kwartaal van 0,3 miljoen euro (of een aangepast bedrijfsverlies vóór belastingen van 0,03 euro per aandeel), t.o.v. een aangepast bedrijfsverlies vóór belastingen van 0,4 miljoen euro (of een aangepast bedrijfsverlies  vóór belastingen van 0,04 euro per aandeel) in Q1 2011;
  • nettoverlies van 0,3 miljoen euro voor dit kwartaal (of een nettoverlies van 0,03 euro per aandeel), t.o.v. een nettoverlies van 0,1 miljoen euro (of een nettoverlies van 0,01 euro per aandeel) in Q1 2011; en
  • aangepast nettoverlies van 0,3 miljoen euro voor dit kwartaal (of een aangepast nettoverlies van 0,03 euro per aandeel), vergeleken met een aangepast nettoverlies van 0,1 miljoen euro (of een aangepast nettoverlies van 0,01 euro per aandeel) in Q1 2011.

Gary Fry, Chief Executive Officer, lichtte de resultaten toe: “Onze omzet en bedrijfsresultaten in het eerste kwartaal van het jaar stemden overeen met onze verwachtingen.”

“In het productieprintsegment hebben we dit kwartaal ons succes voortgezet met de ondertekening van twee bijkomende contracten voor de levering van onze RIP technologie voor hoge snelheidsinkjettoepassingen.  De Page trade show in februari was eveneens erg succesvol voor zowel onze print- als e-documentsoftware, waarvan we verwachten dat ze zullen bijdragen tot nieuwe zakelijke mogelijkheden in de Japanse markten.”

“Wij lanceerden het Binder softwareplatform bij advocatenkantoren in januari, en de respons van zowel systeemintegratoren als advocatenkantoren is zeer positief, wat aantoont dat deze technologie een antwoord is op een reëel gat in die markt.”

Global Graphics reports first quarter 2012 results

GLOBAL GRAPHICS SA (NYSE-Euronext: GLOG), experts in developing e-document and printing software, announces its consolidated results for the quarter ended 31 March 2012, and reports sales of Euro 2.0 million and a net loss of Euro 0.03 per share for the quarter, in line with management’s expectations for that period.

Comparisons for the first quarter of the financial year ending 31 December 2012 with the same quarter of the previous financial year include:

  • sales of Euro 2.0 million this quarter (Euro 2.0 million also at Q1 2011 exchange rates) compared with Euro 2.1 million in Q1 2011;
  • an operating loss of Euro 0.3 million this quarter, as in Q1 2011;
  • an adjusted operating loss of Euro 0.3 million this quarter, as in Q1 2011;
  • an adjusted pre-tax loss of Euro 0.3 million this quarter (or an adjusted pre-tax loss of Euro 0.03 per share), compared with an adjusted pre-tax loss of Euro 0.4 million (or an adjusted pre-tax loss of Euro 0.04 per share) in Q1 2011;
  • a net loss of Euro 0.3 million this quarter (or a net loss of Euro 0.03 per share), compared with a net loss of Euro 0.1 million (or a net loss of Euro 0.01  per share) in Q1 2011; and
  • an adjusted net loss of Euro 0.3 million this quarter (or an adjusted net loss of Euro 0.03 per share), compared with an adjusted net loss of Euro 0.1 million (or an adjusted net loss of Euro 0.01 per share) in Q1 2011.

Commenting on the quarter’s performance, Gary Fry, Global Graphics’ Chief Executive Officer, said:  “Our sales and operating performance in the first quarter of the year was in line with our expectations.

“In the production printing segment this quarter, we have continued our successful run by signing two additional contracts to supply out RIP technology for high-speed inkjet solutions. We also had another successful Page trade show in February for both our printing and electronic document software, which we expect will contribute to new business opportunities in the Japanese markets.”

“We launched the Binder software platform into the legal market last January, and the response from both system integrators and law firms has been very positive, underlining how this technology fulfils a real gap in that market.”  

Analysis of the Company’s performance during the quarter

TKS chooses “digital” Harlequin RIP to drive inkjet newspaper press

The latest version of the “digital” Harlequin RIP®,  has  been chosen by Tokyo Kikai Seisakusho (TKS) of Japan to drive a new inkjet newspaper press that will be launched in the second half of 2012.  The web fed JETLEADER 1500 will be used for high-speed, full-colour digital newspaper production, printing 600 x 600 dpi duplex at 150 metres per minute.   Version 3 of the Harlequin Host Renderer,  recently unveiled by Global Graphics  ahead of drupa ( Hall 7.0 Stand A21) will be the core of the digital print workflow feeding the presses.

TKS selected the Harlequin Host Renderer for its speed and flexibility. “The big advantage”, says Mr. Hashimoto from TKS, “is the dramatically increased performance gained by using Harlequin Parallel Pages™ which greatly accelerates the page processing time.

“We also found the Harlequin Host Renderer easy to configure and customize to meet our specific requirements  – such as our variable print solution  and to accommodate the requirements of our customers. For example, the in-RIP simple imposition feature was very flexible and we could customize it to handle complicated page layouts with PostScript® features.  We also opted to licence Global Graphics’ in-RIP colour management and trapping solutions.”

A number of significant new features in the Harlequin Host Renderer 3 increase processing power so that pages pass through the RIP at a faster pace than ever before.  Harlequin Parallel Pages™ allows the RIP to interpret one page while it’s still rendering the previous one. This allows print shops to take maximum advantage of multi-core computers.

The Harlequin VariData™ feature accelerates the processing time of regular PDF files containing variable data including, but not only, PDF/VT files.

The Harlequin Host Renderer is also available as a 64-bit build to access additional memory when it’s needed for pages with large amounts of data.

PARTICIPATION IN THE SHAREHOLDERS’ MEETING
Preliminary formalities
All shareholders may take part in the meeting of the Company’s shareholders regardless of how many shares they hold in the Company, notwithstanding any contrary provisions of the Company’s articles of association.
Any shareholder can be represented at the meeting by another shareholder, by his or her spouse or by his or her partner in the context of a civil partnership. Any shareholder can also be represented by any natural or legal person of his or her choice, in accordance with applicable provisions of article L.225-106 of the French Commercial Code.
In accordance with article R.225-85 of the French Commercial Code, the right to take part in the meeting of shareholders of a company whose shares are admitted to trading on a regulated market, or to performing transactions on a central depositary, is proved by the registration of shares in the name of the shareholder or of the intermediary registered on his or her behalf in accordance with the provisions of the seventh paragraph of article L.228-1 of the French Commercial Code, on the third business day preceding the date of the meeting at midnight, Paris time, either in the registered share accounts kept by the Company (or its agent), or in the bearer share accounts kept by the authorised financial intermediary.

  • In the case of registered shareholders, the registration in these accounts on 24 April 2012 at midnight, Paris time, will be sufficient to allow them to take part in the meeting of the Company’s shareholders.
  • In the case of bearer shareholders, registration of their shares in bearer share accounts kept by authorised financial intermediaries will be established by a statement of investment in the Company’s shares issued by those financial intermediaries (including under the form of an electronic statement when conditions which are set out under article R.225-61 of the French Commercial Code are met), which must be attached to the postal voting from, or to the proxy form, or to the request for an admission card prepared in the name of the shareholder or on behalf of a shareholder represented by the registered intermediary.

A certificate can also be issued to the shareholders wishing to take part in the meeting of the Company’s shareholders in person and who have not received their admission card by midnight, Paris time, on the third business day immediately preceding the date of the meeting.

Ways to participate in the meeting
Shareholders wishing to attend the meeting of the Company’s shareholders in person may ask for an admission card in the following way:

  • In the case of registered shareholders: every registered shareholder will automatically receive the voting form attached to the notice meeting, which he or she must complete, stating that he or she wishes to take part in the meeting of the Company’s shareholders and obtain an admission ticket, sign and return to CACEIS Corporate Trust, Service Assemblées Générales, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France).

Shareholders who do not attend the meeting of the Company’s shareholders but wish to vote by post or be represented by giving a proxy to the chairman of the shareholders’ meeting, to their spouse or partner in the context of a civil partnership, or to another person, may:

  • in the case of registered shareholders, send the postal voting or proxy form which will be sent to them with the notice of the meeting to CACEIS Corporate Trust, Service Assemblées Générales, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France); or
  • in the case of bearer shareholders, request this form from the authorised intermediary which manages their account, or from CACEIS Corporate Trust, Service Assemblées Générales, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France), by sending them a registered letter at any time between the date when the meeting was convened and six (6) calendar days before the date of the shareholders’ meeting.

In addition, no later than 5 April 2012, the postal voting or proxy form will be available for download from the Company’s website at: www.globalgraphics.com.
In order to be taken into account, postal voting forms, duly completed and signed, must be received by CACEIS Corporate Trust, Service Assemblées Générales, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France), no later than three (3) days before the meeting date.
Proxies granted for this meeting are valid for any further meetings which may be convened with the same agenda and may be cancelled by the shareholders in the same form as was required for the appointment of their proxy.
No shareholder that has already voted by post, sent in a proxy or requested an admission card or a statement of investment in the Company’s shares will be able to choose another manner to take part in the meeting of the Company’s shareholders.
In accordance with the provisions of article R.225-85 of the French Commercial Code, a shareholder can sell all or part of the shares he or she holds in the Company at any time.
However, if the sale takes place before midnight, Paris time, on the third business day immediately preceding the date of the meeting of the Company’s shareholders, the Company will, as the case may be, invalidate or make amendments to the postal vote, proxy, admission card, or statement of ownership in the Company’s shares. For this purpose, the authorised financial intermediary which maintains the account shall give notice of such sale to the Company or its agent, and shall send it the appropriate information.
No sale or other transaction which would be completed after midnight, Paris time, on the third business day immediately preceding the date of the meeting of the Company’s shareholders, regardless of the method used, will be notified by the authorised financial intermediary or taken into account by the Company, notwithstanding any agreement providing for the contrary.
No provision will be made for voting at this meeting by means of video conferencing, or other means of telecommunication and electronic transmission: accordingly, no site of the kind referred to in article R.225-61 of the French Commercial Code will be made available for that purpose.

Request for the addition to the meeting’s agenda of items or draft resolutions
by the Company’s shareholders
One or several shareholders representing in excess of the minimum fraction of the share capital required by applicable legal and regulatory provisions may, in the 20-day period following the date of issue of this notice, request the addition to the meeting’s agenda of items or draft resolutions, under the conditions set out in articles L.225-105 and R.225-71 to R.225-73 of the French Commercial Code.
Requests for the addition to the meeting’s agenda of items, including the rationale for such a request, and draft resolutions must be sent within the twenty calendar day period following the date of issue of this notice, and not earlier than the twenty-fifth day preceding the date of the shareholders’ meeting, either by registered letter sent to the Company’s registered office, or by email sent to investor-relations@globalgraphics.com.

The request must be accompanied by:

  • the item to be added to the meeting’s agenda, and the rationale for such addition, or the text of the draft resolutions, which may be accompanied by a brief summary of the rationale for such proposed resolutions;
  • a statement of ownership of the Company’s shares, proving that the person making the request owns or represents the fraction of the Company’s share capital required by article R.225-71 of the French Commercial Code referred to above; and by
  • information required at the fifth paragraph of article R.225-83 of the French Commercial Code if the draft resolution deals with the proposed appointment of a director.

The examination by the shareholders during the meeting of the additional agenda items and draft resolutions which have been filed by the shareholders shall be subject to the provision by those making these requests of a new statement of ownership proving the registration of the Company’s shares in the same accounts and conditions than indicated above, no later than midnight, Paris time, on the third business day immediately preceding the date of the meeting.
The list of the items added to the agenda of the shareholders’ meeting, as well as the text of the draft resolutions presented by the Company’s shareholders under the conditions mentioned above, will be published in the Investors section of the Company’s website at: www.globalgraphics.com.

Written questions from shareholders
Any shareholder is entitled to put questions in writing to the Chairman of the Company’s Board of Directors until the fourth business day immediately preceding the date of the shareholders’ meeting.
Questions shall be asked by sending either a registered letter to the registered office of the Company, or an e-mail to: investor-relations@globalgraphics.com.
In order to be taken into account, questions must be accompanied by a statement of ownership in the Company’s shares.
When more than one question has the same content, a single reply may be given by the Company.
The reply to a written question will be deemed given if provided in the Investors section of the Company’s website at: www.globalgraphics.com.

Documents made available to the Company’s shareholders
As required by law, all documents which must be provided to the shareholders ahead of a general meeting will be made available to them at the Company’s registered office within the time limits set by law.
The Company’s shareholders may also obtain the documents provided for by articles R.225-81 and R.225-83 of the French Commercial Code by making a written request to CACEIS Corporate Trust, Service Assemblées Générales, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France), within the time limits set by law.
Finally, the documents which have to be presented to the Company’s shareholders, together with the other information and documents provided for by article R.225-73-1 of the French Commercial Code will be available in the Investors section of the Company’s website at: www.globalgraphics.com, at the latest twenty-one days before the date of the meeting of the Company’s shareholders.
This notice is valid as the final notice of the meeting, provided that no modifications are made to the meeting’s agenda pursuant to requests for the registration of additional draft resolutions made by shareholders of the Company.
