Resultaten Global Graphics Eerste Kwartaal 2009

De vergelijking van het eerste kwartaal 2009 (Q1 09) met hetzelfde kwartaal vorig jaar (Q1 08) omvat:

  • Omzet van 2,7 miljoen euro voor dit kwartaal (2,4 miljoen euro tegen Q1 08 wisselkoersen) in vergelijking met 3,0 miljoen euro in Q1 08;
  • Bedrijfsverlies van 0,1 miljoen euro in Q1 09, in vergelijking met een winst van 0,1 miljoen euro in Q1 08;
  • Aangepast bedrijfsverlies van 0,2 miljoen euro voor dit kwartaal in vergelijking met een winst van 0,2 miljoen euro in Q1 08;
  • Aangepast verlies vóór belastingen van 0,2 miljoen euro voor dit kwartaal (of een verlies van 0,02 euro per aandeel) in vergelijking met een winst van 0,4 miljoen euro in Q1 08 (of een winst van 0,02 euro per aandeel);
  • Nettoverlies van 0,1 miljoen euro voor dit kwartaal (of een verlies van 0,01 euro per aandeel) in vergelijking met een nettowinst van 0,2 miljoen euro in Q1 08 (of een nettowinst van 0,02 euro per aandeel); en
  • Aangepast nettoverlies van 0,2 miljoen euro voor dit kwartaal (of 0,02 euro per aandeel) in vergelijking met een aangepaste nettowinst van 0,3 miljoen euro in Q1 08 (of 0,03 euro per aandeel).

Gary Fry, Chief Executive Officer, licht toe: “onze performance van het eerste kwartaal ligt in lijn met onze plannen op het gebied van omzet, kosten en cash flow. We werken hard aan de ontwikkeling van de verkoop en de marketing om klaar te zijn voor de lancering, vóór het einde van het huidige kwartaal, van ons nieuw product gDoc Fusion, dat aan kantoorpersoneel heel wat efficiency zal opleveren. Dat heeft voorziene bijkomende kosten op het vlak van personeel, marketing en marktonderzoek met zich gebracht.

“De marktomstandigheden zijn moeilijk voor onze traditionele activiteiten. Dat is het gevolg van het feit dat investeringen worden uitgesteld. Ondanks dat kunnen we er toch vaart in houden door met onze partners samen te werken om upgrades en bijkomende opties voor te stellen zodat zij hun klanten kunnen blijven ondersteunen. We slaagden er ook in om twee nieuwe contracten af te sluiten voor onze software voor productiedruk. Beide contracten zijn distributieovereenkomsten over meerdere jaren voor onze Harlequin RIP software en hebben al wat omzet opgeleverd in het eerste kwartaal van 2009.

“In het laatste kwartaal van 2008, kondigden we aan dat we PCL nu volledig ondersteunen in onze ingebouwde printplatform. Dat nieuws heeft grote interesse gewekt en wordt nu formeel geëvalueerd door drie grote printerproducenten. “

Resultaten voor het eerste kwartaal van 2009
De omzet bedroeg 2,7 miljoen euro, tegenover 3,0 miljoen euro in het eerste kwartaal 2008 of een daling met 11,1%, tegen huidige wisselkoersen, t.o.v. het eerste kwartaal 2008.

De totale bedrijfskosten lagen bij 2,7 miljoen euro in Q1 09 t.o.v. 2,8 miljoen euro in het eerste kwartaal van 2008 (inclusief een eenmalige last van 0,2 miljoen euro) en 2,7 miljoen euro in het vierde kwartaal van 2008.

De onderneming tekende voor Q1 09 een bedrijfsverlies op van 0,1 miljoen euro (of -4,8% van de kwartaalomzet), in vergelijking met een bedrijfswinst van 0,1 miljoen euro in Q1 08 (of 4,6% van de kwartaalomzet).

De onderneming tekende een aangepast bedrijfsverlies (of EBITA, zoals gedefinieerd in de bijgaande tabel) op van 0,2 miljoen euro voor Q1 09 in vergelijking met een aangepaste bedrijfswinst van 0,2 miljoen euro in Q1 08. De EBITA marge bedroeg voor dit kwartaal -9,3% van de kwartaalomzet in vergelijking met 6,5% van de kwartaalomzet in Q1 08.

Het aangepaste verlies vóór belastingen (zoals gedefinieerd in de bijgaande tabel) bedroeg dit kwartaal 0,2 miljoen euro in vergelijking met een aangepaste bedrijfswinst van 0,4 miljoen euro in Q1 08. Bijgevolg was het aangepaste verlies vóór belastingen per aandeel dit kwartaal 0,02 euro in vergelijking met een winst van euro 0,04 per aandeel in Q1 08.

Q1 09 leverde een nettoverlies op van 0,1 miljoen euro (of een verlies van 0,01 euro per aandeel), terwijl er in Q1 08 een nettowinst was van 0,2 miljoen euro (of 0,02 euro per aandeel).

Het aangepaste nettoverlies (zoals gedefinieerd in de bijgaande tabel) bedroeg voor dit kwartaal 0,2 miljoen euro in vergelijking met een aangepaste nettowinst van 0,3 miljoen euro voor het eerste kwartaal van 2008. De opbrengst per aandeel kwam in Q1 09 uit op een verlies van 0,02 euro t.o.v. een winst per aandeel van 0,03 euro in Q1 08.

Vooruitzichten voor 2009
Gary Fry vervolgt: “2009 is een moeilijk jaar voor de meerderheid van de ondernemingen. Toch heb ik er vertrouwen in dat wij, met de lancering van gDoc Fusion, de belangstelling voor onze eDocument Library oplossingen, de aanhoudende verwerving van nieuwe klanten voor drukproductie en de nieuwe opportuniteit die kantoordruk biedt, in een goede positie verkeren om de neergang, die wij bij veel van onze drukklanten verwachten, te keren en daarop verder te bouwen in 2010 en de volgende jaren.”

Global Graphics: resultats du premier trimestre 2009

La comparaison des chiffres-clés du premier trimestre 2009 avec ceux du premier trimestre 2008 met en exergue les éléments suivants :

  • un chiffre d’affaires consolidé de 2,7 millions d’euros ce trimestre (2,4 millions d’euros à taux de change constants), contre 3,0 millions d’euros au premier trimestre 2008,
  • une perte opérationnelle de 0,1 million d’euros ce trimestre, contre un bénéfice opérationnel de 0,1 million d’euros au premier trimestre 2008,
  • une perte opérationnelle retraitée de 0,2 million d’euros ce trimestre, contre un bénéfice opérationnel retraité positif de 0,2 million d’euros au premier trimestre 2008,
  • un résultat avant impôt retraité négatif de 0,2 million d’euros ce trimestre (soit une perte de € 0,02 par action), contre un résultat avant impôt retraité positif de 0,4 million d’euros (soit un bénéfice de € 0,04 par action) au premier trimestre 2008,

Nous avons consacré beaucoup de temps ce trimestre à muscler notre force de frappe commerciale et marketing en vue du lancement, avant le terme du trimestre en cours, de gDoc Fusion, notre nouveau produit destiné à faciliter la vie de l’office worker, et avons comme prévu exposé à ce titre tant des frais de personnel que des dépenses de marketing et d’analyse de marché.”
“Le marché reste difficile dans notre activité traditionnelle dans la mesure où des dépenses d’investissements sont reportées ; pour autant, nous avons su faire face en lien avec nos clients en leur proposant des offres de mises à jour et des options nouvelles pour leur permettre de répondre aux attentes de leurs clients.”
“Nous avons également eu le plaisir de conclure deux nouveaux contrats en matière d’impression de labeur (production printing). Ces contrats sont tous deux des contrats pluriannuels de distribution de notre RIP Harlequin et ont déjà contribué au chiffre d’affaires du premier trimestre de l’exercice 2009.”

“Au dernier trimestre 2008, nous avions annoncé la compatibilité de notre solution d’impression embarquée (embedded print) avec le format PCL : cette annonce a eu un retentissement certain, conduisant à ce que notre solution soit actuellement en phase d’évaluation formelle par trois importants fabricants d’imprimantes.”

Résultats du premier trimestre 2009
Le chiffre d’affaires consolidé s’est élevé à 2,7 millions d’euros ce trimestre, contre 3,0 millions d’euros au premier trimestre 2008, soit un repli de 11,8% à taux de change courants.

Les charges d’exploitation se sont élevées à 2,7 millions d’euros ce trimestre, contre 2,8 millions d’euros au premier trimestre 2008 (chiffre qui incluait une charge non récurrente de 0,2 million d’euros) et 2,7 millions d’euros au quatrième trimestre 2008.

Le Groupe a dégagé une perte opérationnelle de 0,1 million d’euros ce trimestre (une perte équivalente à 4,8% des ventes ce trimestre), contre un résultat d’exploitation positif de 0,1 million d’euros au premier trimestre 2008 (4,6% des ventes de ce trimestre).

Le Groupe a dégagé un résultat d’exploitation retraité, ou EBITA, tel que défini dans un tableau ci-après, négatif de 0,2 million d’euros ce trimestre, contre un résultat d’exploitation retraité positif de 0,2 million d’euros au premier trimestre 2008. Par suite, la marge opérationnelle retraitée est négative, et équivalente à 9,3% des ventes ce trimestre, contre une marge positive, équivalente à 6,5% des ventes, au premier trimestre 2008.

Le Groupe a dégagé un résultat avant impôt retraité, tel que défini dans un tableau ci-après, négatif de 0,2 million d’euros ce trimestre, contre un résultat avant impôt retraité positif de 0,4 million d’euros au premier trimestre 2008, conduisant à une perte avant impôt retraitée égale à € 0,02 par action ce trimestre, contre un bénéfice avant impôt retraité égal à € 0,04 par action au premier trimestre 2008.

Le Groupe a dégagé une perte nette de 0,1 million d’euros ce trimestre (soit une perte nette égale à € 0,01 par action), contre un bénéfice net de 0,2 million d’euros au premier trimestre 2008 (soit un bénéfice net de € 0,02 par action).

Le Groupe a dégagé une perte nette retraitée (tel que défini dans un tableau ci-après) de 0,2 million d’euros ce trimestre (soit une perte nette retraitée de € 0,02 par action), contre un résultat net retraité positif de 0,3 million d’euros au premier trimestre 2008 (soit un bénéfice net retraité de € 0,03 par action).

Perspectives 2009
Monsieur Gary Fry a poursuivi comme suit : “2009 sera une année difficile au plan de l’exploitation pour nombre de sociétés. Malgré tout, le lancement de gDoc Fusion, l’intérêt pour nos solutions en matière de gestion de documents électroniques, la poursuite de la conquête de nouveaux clients dans le domaine de l’impression de labeur, et les nouvelles opportunités qui s’offrent à nous dans le domaine de l’impression de bureau, nous avons la conviction que nous sommes bien placés pour être en mesure de pallier le repli des ventes que nous nous attendons à enregistrer chez nombre de nos clients du secteur de l’impression en 2009, et pour rebondir en 2010 et au-delà.”

Comparisons for the first quarter of 2009 with the first quarter of the previous year include:

  • Sales of Euro 2.7 million this quarter (Euro 2.4 million at Q108 exchange rates) compared with Euro 3.0 million in Q1 2008;
  • Operating loss of Euro 0.1 million in Q1 2009, compared with a profit of Euro 0.1 million in Q1 2008;
  • Adjusted operating loss of Euro 0.2 million this quarter compared with a profit of Euro 0.2 million in Q1 2008;
  • Adjusted pre-tax loss of Euro 0.2 million this quarter (or a loss of Euro 0.02 per share) compared with a profit of Euro 0.4 million in Q1 2008 (or a profit of Euro 0.04 per share)

Gary Fry, Chief Executive Officer, comments: “Our performance for the first quarter of 2009 is in line with our plan in terms of revenue, expenses and cash flow. We have been busy developing the sales and marketing side of the business in readiness for the launch of our new product, gDoc Fusion, which will bring improved efficiency to the office worker, before the end of the current quarter. This has incurred additional planned expenses in staff, marketing and market research.

“Market conditions are difficult for our traditional business as capital expenditure projects are being delayed, but we have been able to keep things moving by working with our partners to provide upgrade offers and additional options to allow them to continue to support their customers. We were also successful in signing two new agreements for our production printing software. . Both contracts are multiple-year distribution agreements for our Harlequin RIP software and have already generated some revenue in the first quarter of 2009.

“In the last quarter of 2008, we announced that we now support full PCL in our embedded print platform: this has generated some great interest and is now being formally evaluated by three major printer manufacturers.”

First quarter 2009 performance
Sales for the quarter amounted to Euro 2.7 million, compared with Euro 3.0 million in the first quarter 2008, or a decrease of 11.1 % at current exchange rates over Q1 2008.

Total operating expenses amounted to Euro 2.7 million in Q1 2009, compared with Euro 2.8 million in the same period of 2008 (including a non-recurring charge of Euro 0.2 million), and Euro 2.7 million in Q4 2008.

The Company reported an operating loss of Euro 0.1 million this quarter (or -4.8 % of quarterly sales), compared with an operating profit of Euro 0.1 million in Q1 2008 (or 4.6% of quarterly sales).

The Company reported an adjusted operating loss (or EBITA, as defined in the accompanying table) of Euro 0.2 million for this quarter, compared with an adjusted operating profit of Euro 0.2 million in Q1 2008. Accordingly, EBITA margin amounted to -9.3% of sales this quarter compared with 6.5% of sales in Q1 2008.

The Company reported an adjusted pre-tax loss (as defined in the accompanying table) of Euro 0.2 million for this quarter, compared with an adjusted pre-tax profit of Euro 0.4 million in Q1 2008. Accordingly adjusted pre-tax EPS was a loss of Euro 0.02 this quarter compared with a profit of Euro 0.04 in Q1 2008.

The Company reported a net loss of Euro 0.1 million this quarter (or a loss of Euro 0.01 per share), compared with a net profit of Euro 0.2 million in Q1 2008 (or a profit of Euro 0.02 per share).

The Company reported an adjusted net loss (as defined in the accompanying table) of Euro 0.2 million for this quarter compared with an adjusted net profit of Euro 0.3 million for the same period of 2008. Accordingly, adjusted EPS was a loss of Euro 0.02 this quarter, compared with a profit of Euro 0.03 in Q1 2008.

2009 outlook
Gary Fry continued: “2009 represents a difficult trading year for most companies; however with the launch of gDoc Fusion, the interest around our eDocument Library solutions, the continued acquisition of new customers in our production printing area, and the new opportunity that office printing represents, I am confident that we are well positioned to counter the downturn we expect to see from many of our print customers in 2009 and also to build upon this in 2010 and beyond.”

Consumer technology points the way for ‘intuitive’ business software. And could save Australia plc $49bn a year

The ease-to-use so carefully developed by consumer technology companies should point the way for business software developers, argues new research from Global Graphics (NYSE-Euronext: GLOG), a developer of edocument and printing software.

Australian businesses lose an estimated $49bn a year because office workers find it difficult to use business software. Equivalent to a wasted 1.2bn hours.

Over two thirds (69 per cent) of Australian office workers say they have found business software difficult to use. The two most common complaints are that software applications offer too much functionality, and a lack of training.

“Organisations invest millions on training their employees how to use business software. Yet employees are using Facebook, Myspace, iPhones and digitalizing their music without any training at all,” says Gary Fry, CEO, Global Graphics.

The research also shows that office workers are frustrated that software developers are not putting in enough effort to make sure their software is easy to use. Far from suffering technophobia, office workers say that consumer technology such as iPods, digital cameras and games consoles are easier to use than technology in the office.

“Consumer technology companies make money by attracting as many users as possible and that means making products easy to use. By making business software as easy to use as consumer technology, employees are more efficient and less frustrated while companies benefit from lower training costs and higher productivity,” argues Fry.

A surprisingly high 68 percent of office workers estimate they lose up to an hour every working week as a result of business software being difficult to use, with a further 25 per cent saying they lose up to five hours every week.

The sheer number of different applications and the way different office applications work with each other is a prime reason for the losses. Office workers have to draw information from an ever-increasing range of sources, in a range of different and evolving formats. Yet 53 per cent of office workers say they would find it difficult to take pages of information from a variety of different file formats and combine them into a new document.

 “The warning to developers of business software is clear; take a leaf out of the consumer world and make your software easier to use. Make sure it quickly and easily does exactly what the user wants, and focus on that instead of adding more and more features and functions that only a handful of ‘power-users’ will ever need,” cautions Fry.

Umfrage von Global Graphics unter 1000 deutschen Arbeitnehmern: Schlechte Usability von Bürosoftware kostet zwei Stunden pro Woche

Während die Software auf digitalen Endgeräten für den privaten Gebrauch immer einfacher zu bedienen ist – etwa bei Digitalkameras, iPods oder Spielkonsolen – zeichnen die Umfrageergebnisse von Global Graphics in der Bürowelt ein entgegengesetztes Bild: Danach gaben immerhin 40 Prozent der Befragten an, dass die Bürosoftware an ihrem Arbeitsplatz schwierig zu bedienen sei (davon 32 Prozent leicht und 8 Prozent stark zustimmend). Und nahezu jeder Befragte bestätigte dadurch wöchentlich einen Verlust seiner produktiven Arbeitszeit hinnehmen zu müssen. Bei 70 Prozent beziffert sich dieser auf bis zu einer Stunde, bei 22 Prozent sogar auf bis zu fünf Stunden pro Woche, im Durchschnitt liegt der Verlust bei 117 Minuten. Als Ursache für das Dilemma gaben die meisten Befragten an, dass die Bürosoftware über mehr Funktionalitäten verfüge als sie benötigten (38 Prozent). Weitere Aspekte sind: Die Software ist nicht kompatibel mit anderer genutzter Software, oder sie ist schlecht entwickelt (jeweils 30 Prozent), oder die Anwender wurden ganz einfach nicht ausreichend geschult (21 Prozent).

Weiter bestätigt die Umfrage von Global Graphics: Die Vielzahl verschiedener Anwendungen und die unterschiedlichsten Wege wie diese miteinander harmonieren, sind Gründe für Produktivitätsverlust. So müssen Büroarbeitnehmer Informationen heute aus einer stetig steigenden Zahl an Quellen und Formaten bearbeiten. Mehr als ein Drittel (35 Prozent) der Büroangestellten bestätigten, sie fänden es schwierig, Informationen aus verschiedenen Quellen und Formaten zu ziehen und in einem neuen Dokument zu kombinieren.

„Organisationen investieren Millionen, um ihre Mitarbeiter für Business Software fit zu machen. Dagegen nutzen diese soziale Netzwerke wie Facebook oder Xing, ihr iPhone, twittern oder digitalisieren ihre Musik ohne auch nur irgendein Training absolviert zu haben“, sagt Gary Fry, Geschäftsführer von Global Graphics. „Wenn Business Software so nutzerfreundlich wäre wie die Technologien für den Endverbraucher, dann würden Mitarbeiter effizienter und motivierter sein und Unternehmen von niedrigeren Schulungskosten und höherer Produktivität profitieren.“ Seine Botschaft an Entwickler von Bürosoftware ist eindeutig: „Sie sollten sich am Markt für Endverbraucher-Technologieprodukte orientieren und die Bedienung von Software in Zukunft einfacher gestalten, anstatt immer mehr Anwendungen und Funktionalitäten zu entwickeln, die bloß eine Handvoll Anwender jemals braucht“, so Gary Fry.

Nach überwiegender Meinung der Befragten sei die Technologie für den Freizeit- und Hausgebrauch einfacher zu bedienen als Bürosoftware, die vielfach überfrachtet ist mit unnützen Funktionalitäten (vgl. unten stehende Grafik).

Consumer technology points the way for ‘intuitive’ business software. And could save UK plc £63bn a year

The ease-to-use so carefully developed by consumer technology companies should point the way for business software developers, argues new research from Global Graphics, a developer of edocument and printing software.

UK plc loses an estimated £63bn a year because office workers find it difficult to use business software. Equivalent to a wasted 2.8bn hours.

Over three quarters (77 per cent) of UK office workers say they have found business software difficult to use. The two most common complaints are that software applications offer too much functionality, and a lack of training.

“Organisations invest millions on training their employees how to use business software. Yet employees are using Facebook, Myspace, iPhones and digitalizing their music without any training at all,” says Gary Fry, CEO, Global Graphics.

The research also shows that office workers are frustrated that software developers are not putting in enough effort to make sure their software is easy to use. Far from suffering technophobia, office workers say that consumer technology such as iPods, digital cameras and games consoles are easier to use than technology in the office.

Notice of the ordinary and extraordinary meeting of the shareholders

AGENDA
To consider and, if thought fit, to pass the following resolutions which will be proposed as ordinary resolutions:

  • to hear the report prepared by the Board of Directors relating to the Company’s operations for the year ended 31 December 2008, which includes legally required information on the Company’s consolidated accounts for that year;
  • to hear the report prepared by the Chairman of the Board of Directors relating to the preparation and organisation of the meetings of the Board of Directors in the year ended 31 December 2008 and to internal control procedures implemented within the Company;
  • to hear the statutory auditors’ reports on the fulfilment of their assignment as well as their opinion on the Company’s statutory  and consolidated accounts and on the transactions specified under article  L. 225-38 and subsequent articles of the Commercial Code for the year ended 31 December 2008;
  • to approve the Company’s statutory and consolidated accounts for the year ended 31 December 2008, as well as the transactions as specified under article L. 225-38 and subsequent articles of the Commercial Code which were entered into by the Company in the year ended 31 December 2008;
  • to allocate the statutory net loss for the year ended 31 December 2008;
  • to set the amount of attendance fees allocated to the Board of Directors for the current year;
  • to ratify the cooptation of Mr. Gary Fry by the Company’s Board of Directors on 23 June 2008 to replace Mr. James Freidah following the latter’s decision to resign from his directorship with the Company;
  • to give the Board of Directors the authorisation and appropriate authority to allow the Company to repurchase its own shares in accordance with the terms and conditions specified under article L. 225-209 of the Commercial Code; and
  • to give the Board of Directors the authorisation and appropriate authority to implement a Share Incentive Plan.

To consider and, if thought fit, to pass the following resolutions which will be proposed as extraordinary resolutions:

  • to give the Company’s Board of Directors the authorisation and appropriate authority to use the authorisations voted by the Company’s shareholders on 25 April 2008  in case of a take-over bid or a public offer of exchange on the Company’s shares;
  • To give powers for registration purposes.

PROPOSED RESOLUTIONS

ORDINARY RESOLUTIONS

FIRST RESOLUTION – RECEIPT OF THE STATUTORY ACCOUNTS FOR THE YEAR ENDED 31 DECEMBER 2008

That the Company’s statutory accounts for the year ended 31 December 2008, the report of the Board of Directors on the Company’s operations for that year, the report of the Chairman of the Board and the statutory auditors’ reports thereon, which are now laid before the meeting, be hereby received and that the statutory net loss for the year ended 31 December 2008 be Euro 34,775,271.

That both the Board of Directors and the statutory auditors of the Company be given full discharge for the fulfilment of their respective duties for the year ended 31 December 2008.

That no expenses specified under the fourth paragraph of article 39 of the French Tax Code be reported for the year ended 31 December 2008.

SECOND RESOLUTION – RECEIPT OF THE CONSOLIDATED ACCOUNTS FOR THE YEAR ENDED 31 DECEMBER 2008

That the Company’s consolidated accounts for the year ended 31 December 2008 which have been prepared in accordance with IFRSs as adopted by the European Union, the report from the Board of Directors and the statutory auditors’ report thereon, which are now laid before the meeting, be hereby received and that the consolidated net loss for the year ended 31 December 2008 be Euro 565,000.

THIRD RESOLUTION – RECEIPT OF THE AUDITORS’ REPORT ON THE REGULATED AGREEMENTS AS SPECIFIED UNDER ARTICLE L. 225-38 and subsequent articles OF THE COMMERCIAL CODE

That, in accordance with provisions of the last paragraph of article L. 225-40 of the Commercial Code, each and every agreement specified under article L. 225-38 of that Code and set out in the statutory auditors’ report thereon, which is now laid before the meeting, be hereby received.

FOURTH RESOLUTION – ALLOCATION OF THE STATUTORY NET LOSS FOR 2008

That, pursuant to the proposal made by the Company’s Board of Directors, the statutory net loss for the year ended 31 December 2008 amounting to Euro 34,775,271 be allocated as follows:

  • Amount of the statutory net loss for the year ended 31 December 2008: Euro 34,775,271;
  • Proposed allocation:
    • allocation to the Company’s retained earnings, decreasing these from Euro 6,698,698 to nil; and
    • allocation of the balance of the 2008 statutory net loss (i.e. of Euro 28,076,573) to the account “Losses brought forward”.

That no dividend be declared for this year, the Company’s shareholders being reminded that the Company has not declared a dividend in any given year since its incorporation.

FIFTH RESOLUTION – AMOUNT OF DIRECTORS’ FEES FOR THE CURRENT YEAR

That the aggregate amount of attendance fees allocated to the Board of Directors for the current year be set at Euro 60,000.

SIXTH RESOLUTION – Ratification of the cooptation of Mr. Gary fry as a director to replace Mr. james freidah following the latter’s resignation

That the appointment of Mr. Gary Fry (whose personal address is Halsted House, Upper Village Road, Sunninghill, Berkshire, United Kingdom) as a director of the Company, which was made on a provisional basis by the Company’s Board of Directors on 23 June 2008 to replace Mr. James Freidah until the term of the latter’s mandate, i.e. until the date of the meeting of the Company’s shareholders which will be held in 2012 to approve the accounts for the year ending 31 December 2011, be ratified.

SEVENTH RESOLUTION – SHARE REPURCHASE PROGRAMME

That the shareholders, having heard the Board of Directors’ report, and in accordance with article L. 225-209 and subsequent articles of the Commercial Code, voted that the Board of Directors of the Company be granted with appropriate authority to effect the purchase of ordinary shares of the Company, on one or several occasions, at times it shall consider appropriate within the next eighteen months, up to a limit of one million shares.

Such authority will supersede the similar authority granted to the Board of Directors by the Company’s shareholders on 25 April 2008.

That such purchase of shares shall pursue the following objectives:

  • to meet obligations arising from the Company’s share option programmes or other allocations of shares to the employees or directors of the Company, in the forms and conditions as prescribed by applicable law, including the allocation of shares as the result of the implementation of a plan d’épargne d’entreprise, or the grant of shares at no cost to the recipient, as part of either the authority granted to the Board of Directors pursuant to article L.225-197-1 of the Commercial Code, or of the Share Incentive Plan referred to in the immediately following resolution;
  • to cancel some or all of the ordinary shares which would be purchased pursuant to the authorisation given by the Company’s shareholders on 25 April 2008 (eighteenth resolution); and
  • to provide liquidity on the secondary market for the shares of the Company through the appointment of an investment service provider and the conclusion of a liquidity providing contract.

That such purchases of shares may be done by all means, including through the purchase of blocks of shares, and at any times deemed appropriate by the Board of Directors, including when a take-over bid or a public offer exchange of shares is in progress, if allowed by applicable laws and market regulations.
It is however not the intention of the Company to effect any purchases of its own shares by using derivative financial instruments.

That the maximum price at which shares may be purchased be set at Euro 12.00 a share. In case of a transaction affecting the number of shares (including a stock split, a reverse stock split, or the allocation of ordinary shares at no cost to the recipient of such grant), the above-mentioned limit price will be adjusted by a factor equal to the number of outstanding shares before giving effect to the contemplated transaction divided by the number of outstanding shares after giving effect to the contemplated transaction.
That, accordingly, the maximum amount of the share repurchase programme be set at Euro 12 million.

That the Board of Directors be granted with appropriate authority to effect the above-mentioned transactions, decide all precise terms and conditions of the share repurchase programme, and enter into any agreement, take any measure and conduct any formality in relation to this share repurchase programme, as deemed appropriate.

EIGHTH RESOLUTION – AUTHORISATION TO IMPLEMENT A SHARE INCENTIVE PLAN

That the shareholders, having heard the Board of Directors’ report, voted that the Board of Directors of the Company be granted with appropriate authority to implement a Share Incentive Plan through which the Company’s Board of Directors may decide to grant shares at no cost to the recipient of such grant. Grants of shares which would be made to employees and/or directors of the Company’s entities would consist of shares which would have been repurchased by the Company as part of its share repurchase programme referred in the immediately preceding resolution.

That the Board of Directors would be granted with appropriate authority to decide whether a grant of shares would be:

  • made on the condition of the prior purchase by recipients of such grant of the following number of shares of the Company as was voted by the Board of Directors on 17 December 2008:
    • one share would be granted at no cost to the SIP participant for each of the first 1,000 shares acquired under the SIP;
    • 3 shares would be granted at no cost to the SIP participant for each two of the following 500 shares acquired under the SIP; and
    • 2 shares would be granted at no cost to the SIP participant for each of the following 500 shares acquired under the SIP.

As a result, a SIP participant may be granted a total of 2,750 shares at no cost to him provided that he would have acquired a total of 2,000 shares under the SIP; or

  • made without no such prior share purchase requirement; in that latter case, grants of shares at no cost to the recipients of such grants would:
    • be made on a provisional basis as long as certain conditions (including a minimum holding period, a minimum seniority with the Company, etc.) be met; and
    • not be made as part of the authority granted to the Board of Directors by the shareholders on 25 April 2008 pursuant to provisions of article L.225-197-1 of the Commercial Code, which could be used by the Board of Directors otherwise.

Such authorisation would be granted to the Board of Directors until 1 July 2011 and would result in a grant of a maximum of one million shares, subject to any additional limits as set by applicable legal provisions.

In addition, the following would be included in the computation of such limit:

  • all options giving the right to subscribe to ordinary shares of the Company to be issued upon exercise of such option rights or to purchase existing shares of the Company shares which have been granted to date and/or will be granted as the result of the utilisation by the Board of Directors of the nineteenth resolution voted by the shareholders on 25 April 2008 (for further information on this, please see the attached Board report on options); and
  • all shares the grant of which has been decided by the Board of Directors to date and/or will be granted as the result of the utilisation by the Board of Directors of the twentieth resolution voted by the shareholders on 25 April 2008 (for further information on this, please see the attached Board report on grants of shares at no cost to the recipient of such grant), whether such share grant by the Board of Directors is provisional or final.

EXTRAORDINARY RESOLUTIONS
NINTH RESOLUTION – AUTHORISATION TO USE THE AUTHORISATIONS IN CASE OF A TAKE-OVER BID OR A PUBLIC EXCHANGE OFFER ON THE COMPANY’S SHARES

That the shareholders, after having heard the Board of Directors’ report, and being reminded of the provisions of article L. 233-33 of the Commercial Code, voted that:

  • the Board of Directors be granted with appropriate authority to use the authorisations granted by the shareholders on 25 April 2008 when they voted the thirteenth, fourteenth, fifteenth, sixteenth, nineteenth and twentieth resolutions in case of a take-over bid or a public exchange offer on the Company’s shares;
  • such authorisation be granted for a eighteen month period starting from the date of this meeting; and
  • the Board of Directors be granted with adequate powers to take any measure and conduct any formality required pursuant to this resolution, as allowed by applicable legal and regulatory provisions.

TENTH RESOLUTION – POWERS FOR REGISTRATION PURPOSES

The Board of Directors is granted with appropriate powers to sign all documents and take all necessary decisions in view of carrying out definitively the operations specified under the aforementioned resolutions.

INFORMATION ON VOTING PROCEDURES

Any shareholder may attend or participate to shareholders’ meetings regardless of his/her holding in the Company, notwithstanding any contrary provisions of the Company’s articles of association.

Any shareholder of a company whose shares are admitted to trading on a regulated market or to performing transactions of a central depositary is entitled to participate in a meeting of the  shareholders of such company provided that the shares he/she holds in that company are registered in his/her name or in the name of the registered intermediary on behalf of him/her as set out in the seventh paragraph of article L. 228-1 of the Commercial Code, no later than three business days before the date of the shareholders’ meeting at 00.00 CET, either with the Company’s share registrar for shares registered in the name of the shareholder, or with a registered intermediary entitled to keep securities’ accounts.

The record of bearer shares in securities’ accounts kept by a registered intermediary is duly evidenced by a certificate which may be delivered by the registered intermediary, including by electronic means provided that conditions set out in article R. 225-61 of the Commercial Code are then met, which has to be attached to the postal vote form, the proxy statement, or to the request to get an entrance card mentioning the name of the shareholder or the name of the registered intermediary which represents the shareholder.
That certificate may also be delivered to the shareholder willing to attend the meeting should he not have received his entrance card at 00.00 CET on the third business day immediately preceding the meeting date.

Should they not be in a position to attend the meeting, shareholders may give a mandate to their spouse or any other shareholder of the Company, send a proxy statement to the Company, or vote by postal vote.

Any shareholder who has followed any of the above-mentioned procedures may still dispose of part or all of the shares he holds in the Company. However, should such disposal occur no later than 00.00 CET on the third business day immediately preceding the meeting date, the Company will be entitled to cancel or amend the postal vote, proxy statement, entrance card or certificate of participation of the shareholder based on information of such disposal provided by the registered intermediary to the Company or its share registrar.
The registered intermediary has no obligation to notify the Company of any share disposal or other types of share transactions which would be entered into after 00.00 CET on the third business day immediately preceding the meeting date, even in the existence of an agreement providing for the opposite.

A single form which may be used either to vote by proxy statement or by postal vote will be mailed to all shareholders who have registered their shares with the Company’s share registrar.

In accordance with applicable legal provisions, shareholders may obtain the documents which have to be made available to them by sending a request in writing to CACEIS Corporate Trust. These documents will also be available for inspection at the registered office of the Company.

The holder of bearer shares may obtain the proxy statement and postal vote form by sending a registered letter to CACEIS Corporate Trust, Service Assemblée Générale, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France) no later than six (6) days before the meeting date.

To be valid, the postal vote, once completed and duly signed must be sent back to CACEIS Corporate Trust, Service Assemblée Générale, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux Cedex 9 (France), no later than three (3) days before the meeting date.

Should a shareholder decide to vote by postal vote or by proxy statement, or request an entrance card, he/she will no longer be entitled to vote by any other means, notwithstanding any contrary clause of the Company’s articles of association

Any shareholder is entitled to put questions in writing to the Company from the date of issue of this notice. Such questions shall be asked by sending either a registered letter to the registered office of the Company or an e-mail to: investor-relations@globalgraphics.com no later than four business days ahead of the date when the meeting is scheduled.
A certificate of ownership in the Company’s shares must be attached to such requests.

REGISTRATION OF ADDITIONAL DRAFT RESOLUTIONS

Any request for the registration of additional, draft resolutions may be made by those shareholders meeting the conditions required by law, by sending a registered letter to the registered office of the Company no later than twenty-five days ahead of the meeting date.
A certificate of ownership in the Company’s shares must be attached to such requests.
In addition, the addition of such resolutions to those proposed to the shareholders will be made provided that a certificate of ownership in the Company’s shares is received by the Company no later than three business days ahead of the date when the meeting is scheduled.

Résolutions à caractère ordinaire

Première résolution – Approbation des comptes de l’exercice 2008

L’assemblée générale, après avoir pris connaissance des rapports du conseil d’administration, du président du conseil d’administration et des commissaires aux comptes sur l’exercice clos le 31 décembre 2008, approuve, tels qu’ils ont été présentés, les comptes annuels arrêtés à cette date, se soldant par une perte nette de € 34 775 271.

L’assemblée générale consent en conséquence au conseil d’administration et aux commissaires aux comptes quitus pour l’accomplissement de leurs mandats au titre de l’exercice clos le 31 décembre 2008
L’assemblée générale prend acte de l’absence de dépenses et charges visées au 4. de l’article 39 du Code général des impôts.

Deuxième résolution – Approbation des comptes consolidés de l’exercice 2008

L’assemblée générale, après avoir pris connaissance des rapports du conseil d’administration et des commissaires aux comptes sur les comptes consolidés de l’exercice clos le 31 décembre 2008 préparés en conformité avec le référentiel comptable international tel qu’adopté dans l’Union Européenne, approuve ces comptes, tels qu’ils ont été présentés, se soldant par une perte nette de € 565 000.

Troisième résolution – Approbation des conventions des articles L. 225-38 et suivants du Code de commerce

L’assemblée générale approuve, dans les conditions du dernier alinéa de l’article L. 225-40 du Code de commerce, chacune des conventions visées par les dispositions de l’article L. 225-38 dudit Code présentées dans le rapport spécial des commissaires aux comptes.

Quatrième résolution – Affectation du résultat de l’exercice 2008

Sur proposition du conseil d’administration, l’assemblée générale décide de procéder à l’affectation de la perte nette de l’exercice 2008, d’un montant de € 34 775 271, comme suit :

  • origine : perte nette de l’exercice 2008, d’un montant de € 34 775 271,
  • proposition d’affectation du résultat :
    • imputation en totalité sur le comptes « Réserves ordinaires », dont le montant se trouve ainsi ramené de € 6 698 698 à zéro,
    • affectation du solde de la perte (soit € 28 076 573) en report à nouveau débiteur.

L’assemblée générale reconnaît en outre qu’il lui a été rappelé qu’aucun dividende n’a été distribué depuis la constitution de la Société.

Cinquième résolution – Jetons de présence pour l’exercice en cours

L’assemblée générale fixe à la somme de € 60 000 le montant global des jetons de présence alloués au conseil d’administration au titre de l’exercice en cours.

Sixième résolution – Ratification de la cooptation de Monsieur Gary Fry en qualité d’administrateur en remplacement de Monsieur James Freidah démissionnaire

L’assemblée générale ratifie la nomination en qualité d’administrateur, décidée à titre provisoire par le conseil d’administration du 23 juin 2008, de Monsieur Gary Fry, demeurant Halsted House, Upper Village Road, Sunninghill, Berkshire, au Royaume Uni, en remplacement de Monsieur James Freidah, pour la durée du mandat restant à courir de ce dernier, venant à expiration à l’issue de l’assemblée générale tenue en 2012 pour statuer sur les comptes du dernier exercice écoulé.

Septième résolution – Programme de rachat d’actions

L’assemblée générale, connaissance prise du rapport du conseil d’administration, autorise ce dernier, pour une période de dix-huit mois, conformément aux articles L. 225-209 et suivants du Code de commerce, à procéder à l’achat, en une ou plusieurs fois, aux époques qu’il déterminera, à l’achat d’actions de la Société dans la limite d’un million d’actions.

Cette autorisation met fin à l’autorisation donnée au conseil d’administration par l’assemblée générale ordinaire du 25 avril 2008.

Les acquisitions pourront être effectuées en vue :

  • d’assurer la couverture de plans d’options d’achat d’actions et autres formes d’allocation d’actions à des salariés et/ou des mandataires sociaux du groupe dans les conditions et selon les modalités prévues par la loi, notamment au titre de la participation aux résultats de l’entreprise, au titre d’un plan d’épargne d’entreprise, ou par attribution gratuite d’actions, soit dans le cadre de la délégation consentie au conseil en vertu des dispositions de l’article L.225-197-1 du Code de commerce, soit également dans le cadre du Share Incentive Plan objet de la résolution suivante,
  • de procéder à l’annulation éventuelle des actions acquises, en application de l’autorisation accordée pour ce faire par l’assemblée générale du 25 avril 2008 dans sa dix-huitième résolution à caractère extraordinaire,
  • d’assurer l’animation du marché secondaire ou la liquidité de l’action par l’intermédiaire d’un prestataire de service d’investissement au travers d’un contrat de liquidité.

Ces achats d’actions pourront être opérés par tous moyens, y compris par voie d’acquisition de blocs de titres, et aux époques que le conseil d’administration appréciera, y compris en période d’offre publique dans la limite de la réglementation boursière. Toutefois, la Société n’entend pas recourir à des produits dérivés pour ce faire.

Le prix maximum d’achat est fixé à € 12,00 par action. En cas d’opération sur le capital social, notamment de division ou de regroupement des actions ou d’attribution gratuite d’actions, le montant sus-indiqué sera ajusté dans les mêmes proportions (coefficient multiplicateur égal au rapport entre le nombre d’actions composant le capital avant l’opération et le nombre d’actions après l’opération).
Le montant maximal de l’opération est ainsi fixé à 12 millions d’euros.

L’assemblée générale confère tous pouvoirs au conseil d’administration à l’effet de procéder à ces opérations, d’en arrêter les conditions et les modalités, de conclure tous accords et d’effectuer toutes formalités.

Huitième résolution – Autorisation à donner au conseil en vue de permettre la mise en place d’un Share Incentive Plan

L’assemblée générale, connaissance prise du rapport du conseil d’administration, donne les pouvoirs nécessaires au conseil d’administration pour la mise en place d’un Share Incentive Plan (SIP) aux termes duquel le conseil d’administration pourra attribuer gratuitement des actions préalablement rachetées dans le cadre du programme de rachat d’actions objet de la précédente résolution aux salariés et/ou mandataires des sociétés du groupe Global Graphics.

Une telle attribution gratuite d’actions pourrait être décidée par le conseil d’administration :

  • soit sous la condition de l’achat préalable par les bénéficiaires de cette attribution d’actions de la Société dans les proportions arrêtées par le conseil d’administration lors de sa réunion du 17 décembre 2008, à savoir :</li>
    • 1 action attribuée gratuitement pour chacune des 1 000 premières actions acquises par un participant au SIP,
    • 3 actions gratuites pour 2 actions acquises pour les 500 actions suivantes acquises par un participant au SIP,
    • 2 actions gratuites pour chaque action acquise pour les 500 actions suivantes acquises par un participant au SIP,

conduisant à ce qu’un participant ayant acquis 2 000 actions dans le cadre du SIP puisse recevoir 2 750 actions gratuites, sous réserve du respect des obligations de conservation des actions acquises prévues dans le règlement du SIP,

  • soit sans aucune condition d’achat préalable telle que visée ci-dessus ; dans ce  cas, les actions seront attribuées par le conseil d’administration :
    • sous réserve du respect de certaines conditions telles que de conservation, d’ancienneté minimale dans le Groupe ou de performance, qui seront arrêtées par le conseil lors de la décision d’attribution,
    • en dehors de la délégation consentie au conseil d’administration par l’assemblée générale extraordinaire du 25 avril 2008 en application des dispositions de l’article L. 225-197-1 du Code de commerce, celle-ci continuant à pouvoir être mise en œuvre par le conseil d’administration indépendamment de la présente.

Le conseil d’administration pourra, dans le cadre de cette autorisation, valable jusqu’au 1er juillet 2011, attribuer un nombre maximal d’un million d’actions, sous réserve de toutes autres limites légales.

En outre, sur ce plafond s’imputeront :

  • les options d’achat et/ou de souscription d’actions consenties et/ou qui seront consenties en vertu de l’autorisation conférée au conseil d’administration par l’assemblée générale extraordinaire du 25 avril 2008 dans sa dix-neuvième résolution (voir sur ce point le rapport sur les options joint au présent rapport),
  • les actions attribuées et/ou qui seront attribuées gratuitement en vertu de l’autorisation conférée au conseil d’administration par l’assemblée générale extraordinaire du 25 avril 2008 dans sa vingtième résolution (voir sur ce point le rapport sur les attributions gratuites d’actions joint au présent rapport).

Pour le calcul de ce plafond, seront prises en compte toutes les actions dont l’attribution a été décidée par le conseil d’administration, que cette attribution soit devenue définitive ou non.

Résolutions à caractère extraordinaire

Neuvième résolution – Autorisation à donner au conseil d’utiliser des délégations et/ou autorisations en période d’offre publique

L’assemblée générale, connaissance prise du rapport du conseil d’administration, dans le cadre  de l’article L. 233-33 du Code de commerce :

  • autorise le conseil d’administration, si les titres de la Société viennent à être visés par une offre publique, à mettre en œuvre les délégations et/ou autorisations qui lui ont été consenties aux termes des treizième, quatorzième, quinzième, seizième, dix-neuvième et vingtième résolutions de l’assemblée générale ordinaire et extraordinaire du 25 avril 2008,
  • décide de fixer à dix-huit mois à compter de la présente assemblée générale, la durée de la présente autorisation,
  • décide que le conseil d’administration aura tous pouvoirs pour mettre en œuvre, dans les conditions prévues par la loi, la présente autorisation.

Dixième résolution – Pouvoirs

L’assemblée générale confère tous pouvoirs au porteur d’un original ou d’une copie des présentes aux fins d’accomplissement des formalités requises.

Informations sur les procédures de vote

Les actionnaires peuvent prendre part à cette assemblée, quel que soit le nombre d’actions dont ils sont propriétaires, nonobstant toutes clauses statutaires contraires.

Il est justifié du droit de participer aux assemblées générales des sociétés dont les titres sont admis aux négociations sur un marché réglementé ou aux opérations d’un dépositaire central par l’enregistrement comptable des titres au nom de l’actionnaire ou de l’intermédiaire inscrit pour son compte en application du septième alinéa de l’article L. 228-1 du Code de commerce, au troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, soit dans les comptes de titres nominatifs tenus par la société, soit dans les comptes de titres au porteur tenus par l’intermédiaire habilité.

L’inscription ou l’enregistrement comptable des titres dans les comptes de titres au porteur tenus par l’intermédiaire habilité doit être constaté par une attestation de participation délivrée par ce dernier, le cas échéant par voie électronique dans les conditions prévues à l’article R. 225-61 du Code de commerce, et annexée au formulaire de vote à distance ou de procuration, ou encore à la demande de carte d’admission, établis au nom de l’actionnaire ou pour le compte de l’actionnaire représenté par l’intermédiaire inscrit.
Une attestation est également délivrée à l’actionnaire souhaitant participer physiquement à l’assemblée et qui n’a pas reçu sa carte d’admission le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris.

A défaut d’assister personnellement à cette assemblée, les actionnaires peuvent choisir entre l’une des trois formules suivantes :

  1. adresser une procuration à la société sans indication de mandataire,
  2. donner une procuration à un autre actionnaire ou à son conjoint,
  3. voter par correspondance.

L’actionnaire qui a déjà exprimé son vote à distance, envoyé un pouvoir ou demandé sa carte d’admission ou une attestation de participation, peut à tout moment céder tout ou partie de ses actions. Cependant, si la cession intervient avant le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, la société invalide ou modifie en conséquence, selon le cas, le vote exprimé à distance, le pouvoir, la carte d’admission ou l’attestation de participation. A cette fin, l’intermédiaire habilité teneur de compte notifie la cession à la société ou à son mandataire et lui transmet les informations nécessaires.
Aucune cession ni aucune autre opération réalisée après le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, quel que soit le moyen utilisé, n’est notifiée par l’intermédiaire habilité ou prise en considération par la société, nonobstant toute convention contraire.

Les formulaires de procuration et de vote par correspondance sont adressés automatiquement aux actionnaires inscrits en compte nominatif pur ou administré par courrier postal.

Conformément à la loi, l’ensemble des documents qui doivent être communiqués à cette assemblée générale, est mis à la disposition des actionnaires, dans les délais légaux, au siège social ou transmis sur simple demande adressée à CACEIS Corporate Trust.

Pour les propriétaires d’actions au porteur, les formulaires de procuration et de vote par correspondance leurs seront adressés sur demande par lettre recommandée avec demande d’avis de réception auprès de CACEIS Corporate Trust – Service Assemblée Générale – 14 rue Rouget de Lisle – 92862 ISSY-LES-MOULINEAUX Cedex 9 (France) au plus tard six (6) jours avant la date de l’assemblée.

Pour être comptabilisé, le formulaire de vote par correspondance, complété et signé, devra être retourné à CACEIS Corporate Trust – Service Assemblée Générale – 14 rue Rouget de Lisle – 92862 ISSY-LES-MOULINEAUX Cedex 9 (France) au plus tard trois (3) jours avant la date de l’assemblée.

Lorsque l’actionnaire a déjà exprimé son vote à distance, envoyé un pouvoir ou demandé sa carte d’admission ou une attestation de participation, il ne peut plus choisir un autre mode de participation à l’assemblée, sauf disposition contraire des statuts.

Questions écrites posées par les actionnaires

Les actionnaires peuvent poser des questions écrites à la société à compter de la présente publication. Ces questions doivent être adressées au siège social par lettre recommandée avec demande d’accusé de réception, ou par voie de télécommunication électronique à l’adresse suivante : www.investor-relations@globalgraphics.com au plus tard le quatrième jour ouvré précédant la date de l’assemblée générale.
Ces questions écrites doivent être accompagnées d’une attestation d’inscription en compte.

Demande d’inscription de projets de résolutions

Les demandes d’inscription de projets de résolutions à l’ordre du jour par les actionnaires remplissant les conditions légales, doivent être envoyées au siège social, par lettre recommandée avec demande d’accusé de réception, au plus tard vingt-cinq jours avant la tenue de l’assemblée générale.

Ces demandes doivent être accompagnées d’une attestation d’inscription en compte.
Il est en outre rappelé que l’examen par l’assemblée générale des résolutions qui seront présentées est subordonné à la transmission par les intéressés, au plus tard le troisième jour ouvré précédant l’assemblée à zéro heure, heure de Paris, d’une nouvelle attestation justifiant de l’enregistrement comptable de leurs titres dans les mêmes conditions que celles indiquées ci-dessus.

Modalites d’adhesion aux recommandations AFEP/MEDEF sur la remuneration des dirigeants mandataires sociaux

Le conseil d’administration a unanimement exprimé son adhésion à ces recommandations, dont la plupart ont déjà été mises en œuvre par Global Graphics, dans la mesure où elles s’inscrivent dans la démarche de gouvernement d’entreprise suivie par la Société.
 
Le conseil d’administration, au regard de la situation particulière de la Société, s’est cependant réservé la possibilité de ne pas suivre et/ou adapter certaines recommandations, dont notamment les suivantes : celle relative aux modalités de cumul d’un mandat social et d’un contrat de travail, et celle relative aux modalités d’attribution gratuite d’actions et/ou de stock options, pour lesquelles le conseil se réserve la possibilité de ne pas demander l’acquisition d’actions par les bénéficiaires, et de fixer les proportions entre ces attributions et les autres rémunérations qui leur sont versées.
 
Le rapport du président du conseil d’administration, établi en application des dispositions de l’article L.225-37 du Code de commerce, exposera et explicitera les raisons pour lesquelles les recommandations AFEP/MEDEF d’octobre 2008 susvisées n’ont pas pu être retenues et précisera les règles appliquées par la Société.

Decision regarding the adoption of the recommendations relating to the compensation of Executive Directors issued by the AFEP and MEDEF

The Board of Directors voted with unanimous consent that the Company should adopt these recommendations, the majority of which have already been implemented by the Company, as they are in line with the Company’s corporate governance principles.

With respect to the specific situation of the Company, the Board of Directors also voted that it may depart from, or adapt some of these recommendations, notably the following: those relating to the termination of an existing employment contract in the event of the appointment to an executive position; and those relating to the grant of share options or shares at no cost to a recipient on which occasion the Board may decide not to comply with the obligation to acquire a defined quantity of shares upon exercise of options, or not to set the relative proportion of these grants to executive directors compared with their total remuneration.

The report drafted by the Chairman of the Board of Directors in accordance with applicable provisions of article L.225-38 of the Commercial Code will explain why certain of the October 2008 AFEP/MEDEF recommendations were not adopted by the Company and will also set out the rules used by the Company in that respect.
